- Angel One Mutual FundGovernance concern: Non-Compliant Audit Committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.
- DSP Mutual Fund, Jio BlackRock Mutual FundWe have relied upon the auditors’ report, which has raised emphasis of matter regarding, (i) geopolitical escalation in Middle East and restricted maritime movement through the Strait of Hormuz and few vessels of the company are awaiting clearance for transit; (ii) selection of the company for the Government of India’s strategic disinvestment process, which is currently in progress; (iii) and reconciliation and confirmation practices in respect of trade receivables, trade payables, deposits, and agent/vendor/customer balances, including the consequential impact on foreign exchange gain/loss, which management asserts would not have a material impact on the financial statements. We note that the auditors have highlighted certain issues related to the audit trail feature in the accounting software. Based on the auditors’ report, which is unqualified, the financial statements are in accordance with generally accepted accounting principles and Indian Accounting Standards (Ind AS). However, we raise concern that the company has not constituted an audit committee in line with regulations and does not have sufficient independent directors on the board, even while the accounts were finalized. In the absence of critical oversight provided by the audit committee, we are unable to support the resolution.
- Edelweiss Mutual Fund, Navi Mutual FundUnqualified Financial Statements (except certain non-material remarks in CARO report). Governance concern: Non-Compliant Audit Committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.
