An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Approval for the remuneration of Mr. Dhruv Shringi, Whole-Time Director (DIN: 00334986) of the Company
Against Bandhan Mutual Fund, Groww Mutual Fund, ICICI Prudential Mutual Fund, UTI Mutual Fund
    • Bandhan Mutual Fund, Groww Mutual FundCompliant with law. No concern on the merits of the proposed appointee. Governance concern: The Company has not disclosed the number of options proposed to be granted, nor has it prescribed an upper limit on the potential ESOP grants that may be made to Mr. Dhruv Shringi in the future. In the absence of such disclosure, shareholders will be unable to assess the potential economic benefit that may accrue to him pursuant to the future ESOP grant.
    • ICICI Prudential Mutual FundDhruv Shringi, 53, is the Co-founder and Whole time Director of the company but cHe resigned as the CEO of the company on 24 November 2025 and has transitioned as the Executive Chairperson of the board. Based on the proposed terms, we estimate his annual remuneration at Rs. 251.6 mn, which is high and not commensurate with overall size and scale of company’s operations. Also remuneration on Consolidated Profit before tax is high. His remuneration terms are open-ended with no absolute cap on his overall remuneration. Given these concerns, the AMC had voted against the resolution.
    • UTI Mutual FundDhruv Shringi, 53, is the Co-founder and Whole‑time Director of the company. He was appointed for a five‑year term from 8 December 2021, and his remuneration was fixed until 31 March 2026. He resigned as the CEO of the company on 24 November 2025 and has transitioned as the Executive Chairperson of the board. The company now proposes to approve the payment of remuneration as Whole-time Director to Dhruv Shringi from 1 April 2026 to 7 December 2026. Based on the proposed terms, we estimate his annual remuneration at Rs. 251.6 mn, which is high and not commensurate with overall size and scale of company’s operations. The company should disclose the quantum of stock options proposed to be granted during his tenure along with the performance metrics linked to his variable pay. His remuneration terms are open-ended with no absolute cap on his overall remuneration. Given these concerns, we do not support the resolution.

    • UTI Mutual FundWe have relied on the auditor’s opinion: the auditors have issued a qualified opinion on the internal financial controls – the auditors state that the company has not retained adequate documents evidencing performance of review of certain control attributes relating to payments / receipts for packages, updation of vendor masters and vendor code creation. Further, certain control attributes pertaining to review of ageing and vendor reconciliation were not operating effectively during part of the year. We engaged with the company on this. below are the responses: 1. Auditor qualification is regarding the package business, which is a very small % of their overall business. 2. The company is already in the process of setting up new ERP system at organisation wide level. This will ensure tighter internal control across organisation. We will continue to closely monitor progress on this.
