Mutual fund votes, meeting of 2 Oct 2024, 11 fund houses

  • Re-appointment of Ms. Renuka Ramnath (DIN:00147182) as an Independent Director of the Company for another term of five years
Against Axis Mutual Fund, Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, HDFC Mutual Fund, Motilal Oswal Mutual Fund, Navi Mutual Fund, Nippon India Mutual Fund, Taurus Mutual Fund
    • Axis Mutual FundMs. Renuka Ramnath, 63, is the Founder, Managing Director and CEO of Multiples Alternate Asset Management Private Limited: a private equity firm. She attended six out of seven (86%) board meetings held in FY24 and all three (100%) board meetings held in FY25 till the date of notice. She has been on the board since 16 July 2019. The board proposes to reappoint her as Independent Director for a second term of five years from 15 July 2024. While her reappointment is in line with statutory requirements, with the proposed tenure, Ms. Renuka Ramnath's association with the group will cross 10 years. Ms. Renuka Ramnath served on the board of Network18 Media & Investments Limited (promoter company) as Independent Director from 1 April 2019; although she resigned from that board on 15 October 2019, she was appointed to the board of TV18 Broadcast Limited in September 2019. Since there is no cooling off period between the two appointments, we consider her overall association with the group while computing her tenure. During her current tenure, her association with the promoter group will cross ten years. We do not support rotation of tenured Independent Directors within the group as we believe that this is not in line with the spirit of the regulations. Hence, we do not support her reappointment as Independent Director.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual FundNo concern on the merits of proposed appointee. Non-Compliance with Companies Act, 2013: Prior approval of shareholders not sought for re-appointment as ID. Governance Concern: Proposed term will lead to prolonged association with the Group.
