An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Mutual fund votes, meeting of 7 Dec 2025, 17 fund houses

  • Approval of Composite Scheme of Arrangement amongst Triveni Engineering & Industries Ltd, Sir Shadi Lal Enterprises Ltd and Triveni Power Transmission Ltd. and their respective shareholders and creditors under Sections 230-232 of the Companies Act, 2013MoreLess
Against Angel One Mutual Fund, Axis Mutual Fund, Bandhan Mutual Fund, Bank of India Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, ICICI Prudential Mutual Fund, Kotak Mahindra Mutual Fund, LIC Mutual Fund, Mirae Asset Mutual Fund, Navi Mutual Fund, Nippon India Mutual Fund, SBI Mutual Fund
    • Angel One Mutual FundConcerns over demerger of Power Transmission Business of Triveni Engineering and Industries Ltd into Triveni Power Transmission Ltd as Triveni Engineering and Industries Ltd Promoters will have voting rights disproportionate to their economic rights.
    • Axis Mutual Fund, Bank of India Mutual Fund, SBI Mutual FundThe company proposes to enter into a two-step scheme of arrangement with Sri Shadi Lal Enterprises Limited and Triveni Power Transmission Limited. The company first proposes to amalgamate Sri Shadi Lal Enterprises Limited with itself and issue equity shares to the residual shareholders of SSEL. The dilution, as a result of this issue, is low at ~1.7%. From a valuations’ standpoint, the transaction will be executed at an EV/Revenue of 1.9x, which is in line with peers. Through the second step, the company proposes to demerge the Power Transmission Business Undertaking (PTB) to Triveni Power Transmission Limited (TPTL) – currently a wholly owned subsidiary. It is then proposed to list TPTL on the stock exchanges, thereby unlocking value for shareholders. While we understand the rationale for separating the businesses, we raise concern that TEIL proposes to retain a 30% equity stake in PTPL post the demerger. The rationale for holding ~30% post the demerger of the business is unclear. We understand that the economic interest of shareholders, as a result of this demerger, remains unchanged. However, we raise concern that by retaining ~30% shareholding in TPTL, the voting rights for the Promoter group increase from ~61% - had it been a mirror shareholding demerger – to ~73%. We believe these incremental voting rights are disproportionate with the actual economic interests of the promoters, without a clear rationale to this structuring arrangement. We do not support this resolution.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Navi Mutual FundCompliant with law. No major concerns are identified with the amalgamation of Sir Shadi Lal Enterprises Ltd into Triveni Engineering & Industries Ltd (TEIL). Governance and Transparency Concern: Governance and transparency concerns are identified with the demerger of Power Transmission Business into Triveni Power Transmission Ltd (TPTL). TEIL will retain 30% stake in TPTL. This decision is stated to be driven by balance-sheet considerations when bidding for defence projects. While the intent of TEIL to expand the defence business appears to be valid, however, the current scale of defence operations is not sizable and the potential growth remains uncertain. Ownership structuring tailored to a specific business need is generally justified only when that business constitutes a significant portion of the overall operations. In the absence of clarity on the likely contribution of the defence business to the consolidated business, it is difficult to assess whether structuring TPTL in the proposed manner is reasonable or justified. What also remains unclear is why the proposed structure is considered the most suitable framework, particularly when it results in promoters obtaining a disproportionate voting advantage. With TEIL holding only a 30% stake in TPTL, full balance-sheet consolidation will not occur, except to the extent of profit and loss recognition. Moreover, TEIL or the promoters could still extend support to the divested undertaking through mediums such as corporate guarantees. Answers to above issues are essential to gain adequate comfort over the rationale and fairness of the proposed scheme of arrangement.
    • ICICI Prudential Mutual FundTEIL proposes to retain a 30% equity stake in PTPL post the demerger. The rationale for holding ~30% post the demerger of the business is unclear. The voting rights of the promotor group increases from 61% to 73%- promotors will have voting rights disproportionate to their economic rights. Hence, the AMC voted against the resolution.

    • Mirae Asset Mutual FundAs per advisory recommendation (Passive holding)
    • Nippon India Mutual FundGovernance and Transparency Concern: TEIL power transmission demerger into TPTL, lacka evidence that uncertain/small defence scale justifies balance-sheet split for bids.

    • Axis Mutual Fund, Bank of India Mutual Fund, Mahindra Manulife Mutual FundThe company seeks shareholder approval to grant loans / guarantees / provide securities to any company in which directors are interested. We note that the company has subsequently clarified that loans/guarantee/security will not be extended to promoter companies. While we recognize that the financial support will primarily be to Sir Shadi Lal Enterprises Limited (SSEL), a 61.77% subsidiary which they have recently acquired, the company has also mentioned that financial support may also be extended to joint venture/associate companies. We raise concern that this since this is an enabling approval, the company must clarify whether the financial support extended to joint venture/associate companies will be to the extent of their shareholding in those companies and the rationale to support non-subsidiary companies. They must also disclose granular details including names of these companies, the nature and size of their operations and terms of support, to justify the transaction limit sought and to enable shareholders to make an informed decision. In the absence of these disclosures, we are unable to support this resolution.
