An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Jio BlackRock Mutual Fund, Sundaram Mutual Fund
    • Jio BlackRock Mutual Fund, Sundaram Mutual FundOn 6 January 2026, the company received a notice from Café Network Limited, a shareholder holding 59 equity shares of the company, proposing the candidature of Krishnam Parasramka for appointment as a director. Krishnam Parasramka, 28, is an Advocate with experience in corporate law, securities law, and financial regulations. He also leads Parasramka Projects Private Limited, which is empanelled with the State Bank of India and has advisory engagements with CFSL, a subsidiary of Central Bank of India, assisting in the resolution of securities entitlement matters and legacy investor issues. The NRC has stated that after considering the age, experience and professional background of Krishnam Parasramka they believe that he does not sufficiently demonstrate the breadth of board-level experience and exposure relevant in the context of the company’s scale, complexity and governance requirements. The category of his directorship and whether he will be liable to retire by rotation is unclear. We do not support the resolution since at 28 years of age, his appointment is not in line with our voting guidelines. Further, it is unclear whether he has at least ten years of post-qualification relevant experience. We do not support the resolution.

Against Angel One Mutual Fund, Bajaj Finserv Mutual Fund, Edelweiss Mutual Fund, LIC Mutual Fund, Mahindra Manulife Mutual Fund, Navi Mutual Fund, PGIM India Mutual Fund, Quantum Mutual Fund
    • Angel One Mutual Fund, Edelweiss Mutual Fund, LIC Mutual Fund, Navi Mutual Fund, PGIM India Mutual FundGovernance Concern: Considering the limited experience, expertise and overall profile, the candidate does not appear to be suitable and appropriate to justify a board position on the Company given the scale and nature of operations of the Company.
    • Bajaj Finserv Mutual FundThe company is seeking shareholders’ approval for the appointment of Mr. Krishnam Parasramka as a Director pursuant to a shareholder’s notice received under Section 160 of the Companies Act, 2013. The proposal has been duly considered by the Nomination and Remuneration Committee and the Board of the Company, both of which have evaluated the candidature in the context of the Company’s existing board composition, governance requirements, and strategic needs, and have recommended voting against the resolution. The Nomination and Remuneration Committee, after reviewing the proposal and the information available in the public domain, concluded that the current Board already comprises individuals with a broad and complementary mix of skills, experience and industry knowledge. In its assessment, the proposed appointment would not materially enhance the effectiveness, diversity, expertise or overall functioning of the Board. The Committee further noted that the Company’s existing board composition adequately addresses its current governance and strategic requirements, and therefore did not consider the addition of the proposed candidate to be warranted. The Committee also evaluated the age, experience and professional background of the proposed appointee and observed that the candidate does not sufficiently demonstrate the breadth of board-level experience and exposure required for a company of the scale and complexity of Tech Mahindra. It was of the view that the candidate’s overall profile does not provide the necessary depth in governance oversight, stakeholder management or strategic decision-making expected at the Board level. Consequently, the Committee was not satisfied that the appointment would contribute additional capabilities commensurate with the Company’s size and operational complexity. Further, the Committee observed that the candidate’s directorship experience is largely associated with promoter-led or closely held entities and does not reflect exposure to governance and strategic matters comparable to those encountered by a large listed company. In light of these considerations, the Committee concluded that the proposed appointment would not be in the best interests of the Company and its stakeholders and therefore unanimously decided not to recommend the resolution. The Board of Directors, after independently reviewing the proposal and considering the negative recommendation of the Nomination and Remuneration Committee, concurred with the Committee’s conclusions. The Board emphasised that any appointment to the Board should enhance its ability to provide effective oversight, strengthen strategic direction and contribute to long-term value creation for shareholders. Based on its evaluation, the Board determined that the proposed appointment does not provide a compelling governance, strategic or shareholder value rationale and therefore resolved not to recommend the appointment. In addition to the concerns expressed by both the Committee and the Board, the proposal does not demonstrate any clear incremental skillset or expertise that would complement the existing Board composition. The current Board already includes members with extensive experience across industry, management, banking and legal domains, with substantial track records in handling large and complex organisations. In comparison, the proposed candidate’s experience and exposure appear limited and do not justify appointment at the Board level of a large-cap listed entity. There are also concerns regarding the clarity of the proposal itself, including inconsistency between the original intent of the proposing shareholder and the manner in which the resolution has been presented, particularly with respect to the nature of the directorship. Such lack of clarity, along with the limited extent of disclosures on the candidate’s suitability for a role of this nature, further weakens the case for the proposed appointment. Considering the explicit negative recommendation of both the Nomination and Remuneration Committee and the Board, the lack of demonstrated value addition to the existing Board, and the limited experience and exposure of the proposed candidate relative to the Company’s scale and governance requirements, the appointment does not appear justified. Accordingly, we are voting against the resolution.
    • Mahindra Manulife Mutual FundOn 6 January 2026, the company received a notice from Café Network Limited, a shareholder holding 59 equity shares of the company, proposing the candidature of Krishnam Parasramka for appointment as a director. The category of his directorship and whether he will be liable to retire by rotation is unclear. We agree with the NRC recommendation (against) and do not support the resolution.
    • Quantum Mutual FundMr. Krishnam Parasramka has been proposed to be director by Café Network Limited, a shareholder holding 59 equity shares of the company. The NRC of the company has stated that after considering the age, experience and professional background of Krishnam Parasramka they believe that he does not sufficiently demonstrate the breadth of board level experience and exposure relevant in the context of the company’s scale, complexity and governance requirements. In view of the above, we do not favour his appointment.

While his reappointment is in line with the statutory requirements, Khaitan & Co. has a business relationship with the company and has received professional fees of Rs. 5.5 mn from the company in FY24. The company has stated that fees paid to Khaitan & Co by the company form a very small part of the professional fees paid by the company, however, given the conflict of interest caused by existing business relationships, we do not support the resolution.Further, Haigreve Khaitan serves as Independent Director on the boards of seven listed companies (including Tech Mahindra Limited). Given their full-time responsibilities, regulations allow whole-time directors of listed companies to be independent directors in a maximum of three listed companies. We believe that, as Senior Partner of Khaitan & Co., his responsibilities are equivalent to a whole-time directorship. Against Franklin Templeton Mutual Fund, HSBC Mutual Fund
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted in view of the following concerns in the executive's remuneration: • The pay structure comprises stock options which have an exercise price at face value and are not subject to any performance conditions. These will follow time-based vesting and are only subject to continued employment. • There is no clarity on the metrics and parameters that will guide variable pay outcomes under this framework. This is concerning given a sizeable quantum of his remuneration is attributed to these pay components. • The quantum of remuneration is considered to be competitively positioned when compared to other domestic IT peers. • Fixed pay forms a major part of the total estimated remuneration which deviates from the structures adopted by companies operating in the same industry, where variable pay forms a major portion of the total pay.
