An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • DSP Mutual FundPradeep Dinodia, 72, is a Chartered Accountant with over four decades of experience and Managing Partner of S.R. Dinodia & Co. LLP. He is Non-Executive Chairperson and has served on the Board since 16 May 2003. He was paid commission of Rs. 46.1 mn and sitting fee of Rs. 1.8 mn in FY26. He is also on board of His commission payout increased from Rs. 19.2 mn in FY22 to Rs. 46.1 mn in FY26 and has consistently been ~62% to 65% of the total commission paid to all NEDs over the period. Based on the proposed remuneration terms, we estimate his aggregate remuneration up to Rs 62.1 mn for FY27. We raise concern that the commission component of remuneration is open-ended with no absolute cap, remains high in absolute terms compared to executive directors of the company. The company must disclose the reason for such high payout to the non-executive chairperson. Additionally, we note that the exclusion of depreciation, donation and taxes from profits for computation of commission will result in a higher profit base for the payout. Given this, we do not support the resolution. We also note that Pradeep Dinodia serves on the board of Hero MotoCorp Limited, a customer of the company. The company should disclose how it manages any potential overlaps arising from such common directorships with key business counterparties.
    • Edelweiss Mutual FundCompliant with Law. Governance & Transparency Concern: Proposed commission appears to be excessive for NED Chairman. The Company has not provided adequate justification for such high remuneration payment in the Notice.

Governance Concern: Clause of holding combined position of Chairperson and Executive / Managing Director / CEO by the same person, holding the position of Executive Chairperson by any person may lead to concentration of power in the hands of single person. Proposed AoA includes provision for appointment of Alternate Director. AoA includes provisions which might undermine the role of NRC. When the nominee directors are nominated by interested parties, then proposing them through NRC and the Board, appears to be a namesake arrangement; especially when the nomination rights are not just to nominate but also to appoint on the Board. Further, blanket rights to allow committee positions. The committee members should be appointed considering the committee responsibilities and the expertise and skills of the Director and not on the basis of any special rights.
