An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Bandhan Mutual Fund, Motilal Oswal Mutual FundCompliant with law. Governance concern: Combined position of Chairman and Managing Director; No absolute cap on variable pay or total remuneration & NRC discretion to determine variable payment. Transparency concern: Ambiguity between proposed period for minimum remuneration.
    • Kotak Mahindra Mutual FundWe have no concern with the appointment of Mr. Davar as Executive Chairman & CEO. There is no legal bar for Chairman to also hold Executive Director position. However, on the remuneration, company has not provided the cap on variable pay. It is a combined agenda item on his appointment and remuneration and hence, we vote Against on this resolution.
    • Nippon India Mutual FundGovernance concern: Combined position of Chairman and Managing Director. No absolute cap on variable pay & NRC discretion to determine variable payment.
    • Quantum Mutual FundWe believe that Jayant Davar holding dual position of Chairman and Managing director may lead to concentration of power. Hence, we do not favour the resolution.
    • UTI Mutual FundJayant Davar, 63, is the founder Promoter, Executive Chairperson and Managing Director and Chief Executive Officer of the Company. He has over four decades of experience in the auto component industry. He was paid Rs. 88.5 mn as remuneration in FY25 which was 182.0x times the median employee remuneration. Based on the proposed terms from 1 January 2026, the estimated annual remuneration is at Rs. 104.9 mn. Further, his remuneration remains uncapped since it comprises commission as per company policy– in the last five years the commission has ranged between 3.1% and 4.0% of standalone profits which is high. The company must cap commission in absolute amounts. While we recognize his role in establishing strategic direction for the company and support his reappointment, we do not support the resolution on account of the overall promoter level remuneration exceeding our internal threshold.

We do not support this interpretation of the regulation we believe the director should have had a complete disassociation from the company and the group for at least three years for it to be considered cooling period. Hence, we do not support the resolution.
    • Nippon India Mutual FundGovernance Concern: No cooling off period served by candidate.
    • Quantum Mutual FundWe take note that Mr. Sandeep Dinodia is associated with M/s S.R. Dinodia & Co. LLP in the role of senior partner. As per the firm’s website, it appears that the founders of the firm are the Dinodia family. Thereafter Mr. Dinodia was appointed as Non-Executive Director w.e.f. 2nd February 2022 citing his previous association with the company. Now the company proposes to appoint him as independent director. However, we are of the view that the cooling off period has not been served from his previous role as auditor. Therefore, we do not favour his appointment.
