With reference to the Company's communication regarding application made by the Company to the Registrar of Companies, West Bengal for its permission to close its Annual Accounts for 18 months period commencing from April 01, 2010 to September 30, 2011 and dispensing the requirement for holding the AGM in a calendar year. The approval for extension of financial year was pending before the Registrar of Companies vide the Company's application dated November 30, 2011. It has been intimated through e-mail by the Registrar of Companies West Bengal that the Company's said application has not been approved. In the view of the above development Annual Accounts for 12 months period commencing from April 01, 2010 to March 31, 2011, is now being prepared and accordingly, Book Closure and Adoption of Annual Accounts at the Annual General Meeting will take place on / or before May 30, 2012.9 Apr · Board meeting

Company had applied for restructuring of its debts under CDR Mechanism and had obtained the Extension of time for holding the AGM upto December 27, 2011 vide order of Registrar of Companies, West Bengal dated August 27, 2011 and fact of the same has been communication to the stock exchange. Further, the Company has informed the Exchange that Board of Directors of the Company had decided to close its Annual Accounts for 18 months period commencing from April 01, 2010 to September 30, 2011 which was reflected in quarterly result for the quarter ended September 30, 2011 and dispensing the requirement for holding the AGM in a calendar year.
