An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. - Mirae Asset Mutual FundAs per advisory recommendation (passive holding)
- Unifi Mutual Fund, UTI Mutual FundUnder the scheme, options exercisable up to 2,300,000 equity shares will be issued to employees of the company. The maximum dilution for the total scheme is 0.5%, on the extended capital base. Vesting is primarily time based with the NRC having the discretion to prescribe performance parameters on a case-to-case basis. The exercise price can be as low as the face value of Re. 1.0 per share, which would represent a discount of ~99% to the current market price. This scheme has not been implemented, and no options have been granted to any eligible employees till date. We do not favour ESOP schemes where options are granted at a significant discount (over 20%) to the market price, as stock options are ‘pay at risk’ instruments that employees accept at the time of grant. We make an exception in cases where the vesting of such options is mandatorily linked to performance parameters, and the company has disclosed the targets for such parameters. In this case, there is no clarity on the market price of whether vesting is performance-linked. Since we do not support the scheme, we do not support the extension of the scheme to subsidiary companies.

- Kotak Mahindra Mutual FundMark Saldanha, 53, is the promoter and Managing Director of the company. He has over 24 years of experience in production, marketing and finance. He has served on the board since 6 October 2005. He has attended all four board meetings in FY25 (100%). He received a remuneration of Rs. 63.8 mn in FY25. As per his terms of reappointment, we estimate his annual remuneration to be Rs. 79.3 mn (excluding medical reimbursements). There is no legal bar for Chairman to also hold Managing Director position. the Addendum to the Notice was released only 15 days prior to the AGM Date and not 21 days to the AGM Date, resulting in non-compliance. Hence, we do not support the resolution.
- Mirae Asset Mutual FundAs per advisory recommendation (passive holding)
- Unifi Mutual FundMark Saldanha, 53, is the promoter and Managing Director of the company. While his remuneration is in line with peers and commensurate with the size and complexity of the company’s operations, we raise concern that the terms include reimbursement of medical expenses. These reimbursements are capped for other Executive Directors on the board, while there is no cap in the current terms. Given the personal nature of such expenses, we expect the company to either have insurance coverage for any such expenses or the director to bear the expenses. At the very least, we expect the NRC to cap the quantum of medical expense reimbursements. We do not support this resolution.

How money raised was used
Reported for the quarter to Dec 2025. The company's results filing for the quarter to Jun 2026 says no statement of how money raised was used applies to it. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
