An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Revision in terms of remuneration of Dr. Bir Kapoor (DIN 01771510), Deputy Managing Director of the Company.
    Against HSBC Mutual Fund
    • HSBC Mutual FundThere is lack of a detailed justification for the frequent, high-quantum increases in Bir Kapoor's pay, which are not in line with company-wide salary increases and are not reflective of shareholder experience. A component-wise breakdown of the executive s historical and proposed remuneration is not specified. There is no disclosure on the performance parameters, weightages and targets based on which the executive's performance payout would be determined. The proposed remuneration quantum is aggressively positioned in comparison to that of industry peers.

    • Aditya Birla Sun Life Mutual Fund, Axis Mutual Fund, Bandhan Mutual FundDevendra Kumar Jain, 95, is the Non-Executive Chairperson on the board and is part of the promoter group. The company seeks shareholder approval to pay commission at 0.50% of net profits for FY25 to Devendra Kumar Jain in his capacity as Non-Executive Chairperson, which will exceed the total remuneration payable to all the Non-Executive Directors for FY25. He was paid Rs. 57.2 mn in FY24 and Rs. 189.1 mn in FY23, as commission. We raise concern that his remuneration in FY24 was significantly higher than the other Whole-time Directors and the commission to be paid to him is open ended; we expect the company to cap the payouts to him in absolute terms. Further, we raise concern that the board composition is not in line with regulation on independent director representation – it has remained non-compliant since August 2024. We believe that as Chairperson, Devendra Kumar Jain must address the compliance violation on independent director representation on the board. We do not support the resolution.

The company seeks shareholder approval to pay commission at 0.50% of net profits for FY25 to Devendra Kumar Jain in his capacity as Non-Executive Chairperson, which will exceed the total remuneration payable to all the Non-Executive Directors for FY25. We believe the promoter remuneration is high considering the size, scale and complexity of business.
    • HSBC Mutual FundThere is no compelling rationale for payment of remuneration that is beyond the standard fees paid to other non-executive directors. The quantum of pay, which is significantly higher than that of other executive directors, is more indicative of an executive position and creates uncertainty on his exact role at the company and the division of responsibilities at the board level.
    • ICICI Prudential Mutual FundThe board composition is not in line with regulation on independent director representation, it has remained non-compliant since August 2024 with Regulation 17 of the SEBI LODR, 2015. • HSBC Mutual FundWe are voting against this Board Chair as we have concerns about insufficient gender diversity of the board. We have concerns about insufficient independence on the board.
    • SBI Mutual FundDevendra Kumar Jain, 95, is part of the promoter group and the Non-Executive Chairperson. He has attended all four board meetings held in FY24. SBIMF’s internal proxy voting guidelines do not allow us to vote in favour of promoter directors’ appointment/re-appointment if the board is not 50% independent both in number and spirit if chairperson is a promoter/ED. We observe that there are 11 Board of Directors (BODs), out of which 5 are classified as independent directors. Hence, the effective independence is assessed at 45%. We wish to clarify that we do not have any doubt about the competency of the directors. Our only concern is <50% independence on the board. We do not support the resolution.
