An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against SBI Mutual Fund
    • SBI Mutual FundWe observe that there are 7 Board of Directors (BODs), out of which 3 are classified as Independent Directors (ID). We notice that Mr Ramesh Damani, ID and Chairperson, has been on the board of Avenue Supermarts since last 13 years. Under SBIMF’s framework, long tenured IDs i.e. more than 10 years on the board of any company are not considered independent in spirit. Hence, as per our framework, there are only 2 independent directors of the total 7 BODs (i.e. 29%). SEBI LODR (2015) mandates 33% independence on the board if the chairman of the board is independent. SBI Mutual Fund’s internal guideline does not allow us to vote in favour of appointment/re-appointment of the promoter director/promoter representatives if the board does not meet the 50% independence criteria, which is in line with best practices of Kotak Committee Recommendations. We wish to re-iterate that we have no doubts in the capabilities of Ms. Manjri Chandak. Our sole objection is that the board does not have 50% independence because of which we are unable to support the resolution.

Against Bank of India Mutual Fund, Invesco Mutual Fund, Mirae Asset Mutual Fund
    • Bank of India Mutual Fund, Invesco Mutual Fund, Mirae Asset Mutual FundMs. Kalpana Unadkat, 51, is a solicitor and a senior partner at Khaitan & Co. She is serving on the board since 30 July 2018. Khaitan & Company received professional fees from Avenue Supermarts Ltd in FY22, which creates a conflict of interest. Thus, we do not consider Kalpana Unadkat to be an Independent Director on the board of Avenue Supermarts Ltd.
