An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • APPROVAL FOR GRANT OF STOCK OPTIONS UNDER CYIENT DLM ASSOCIATE STOCK OPTION PLAN 2023 TOnTHE EMPLOYEES OF THE SUBSIDIARY COMPANY(IES) OF THE COMPANY
    Against Invesco Mutual Fund
    • Invesco Mutual FundThrough a Postal Ballot in September 2023, shareholders approved the Cyient DLM Associate Stock Option Plan 2023 (ASOP 2023). As per the scheme, a total of 1,056,173 are to be granted at market price to eligible employees, with a maximum vesting period of seven years. The company is seeking approval to extend the benefit of the scheme to eligible employees of present and future subsidiaries (40% of the total pool size, amounting to 422,469 options). Although we supported the scheme, we do not support enabling approval to extend ESOP scheme benefits to any future subsidiaries, in the absence of any details of such subsidiaries. Therefore, we are unable to support the resolution

  • APPROVAL FOR GRANT OF STOCK UNITS UNDER CYIENT DLM RESTRICTED STOCK UNITS PLAN 2023 TO THEnEMPLOYEES OF THE SUBSIDIARY COMPANY(IES) OF THE COMPANY
Against HDFC Mutual Fund, Invesco Mutual Fund
    • HDFC Mutual FundThe exercise price of RSUs is equal to the face value of the company. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees.
    • Invesco Mutual FundAt the 2023 September Postal Ballot, shareholders approved Cyient DLM Restricted Stock Unit Plan 2023 (RSU 2023). As per the scheme, a total of 1,584,260 units are to be granted at face value (Rs. 10) to eligible employees, with a maximum vesting period of seven years. The company is seeking approval to extend the benefit of the scheme to eligible employees of present and future subsidiaries (40% of the total pool size). We do not favour RSU schemes where options are granted at a significant discount to the market price and vesting of units is not performance based. RSUs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the RSUs are issued at significant discount to the market price. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees. Since we do not support the scheme and also do not support enabling approval to extend RSU scheme benefits to any future subsidiaries, in the absence of any details of such subsidiaries, we cannot support the resolution

  • Approval of limits for the Loans, Guarantees and Investment by the Company as per Section 186 of the Companies Act, 2013
Against DSP Mutual Fund, Groww Mutual Fund, HDFC Mutual Fund, Nippon India Mutual Fund
    • DSP Mutual FundThe company seeks approval to increase its intercorporate limits under section 186 of the Company’s Act 2013 to accommodate its long-term business plans which may require making loans/investments or issuing guarantees/securities. As on 31 March 2024, the statutory limit available is Rs. 8.5 bn. current utilization of the available statutory limit is zero. The approval is sought for a rolling limit (Rs. 4.0 bn over and above the statutory limit), which increases the company’s ability to undertake transactions under section 186 as the company’s networth increases. We do not favour rolling limits linked to net worth and recommend that companies seek approval for a fixed intercorporate transaction limit. Furthermore, given the ample headroom available under the statutory limit, the company must disclose granular details of its business plan justifying the need for a higher limit. This will enable shareholders to make an informed decision. The company must also clarify whether loans/guarantees given, and investments made will be to promoter owned/ controlled companies.
    • Groww Mutual FundCompliant with Law. Governance concern: Inadequate disclosure regarding proposed recipient(s).
    • HDFC Mutual FundGiven these are rolling limits linked to networth, shareholders will not get a chance to periodic review th e borrowing limits
    • Nippon India Mutual FundInadequate Disclosure
