Against Invesco Mutual Fund, PGIM India Mutual Fund
- Invesco Mutual FundPrayas Goel, 48, is the promoter and Chairperson and Managing Director (CMD). He has over 25 years of experience in organisational strategy, business process re – engineering and future technology and leading innovation. He has been associated with the company since 5 May 2009. He has attended six out of ten (60%) board meetings in FY25 and 17 out of 28 (61%) board meetings over a period of three years. We expect directors to attend all board meetings. We have a threshold of minimum 75% attendance over a three-year period. Given his low attendance, we are unable to support the resolution
- PGIM India Mutual FundCompliant with law. No concern w.r.t merits of Director. Governance Concern: Combined position as Chairman & Managing Director will lead to concentration of power in the hands of a single person; Low Attendance at Board Meetings.

- To amend the Concord Enviro Employee Stock Option Plan 2022
Against Invesco Mutual Fund
- Invesco Mutual FundThe amendment will allow the Board of Directors powers to amend, alter or terminate the Plan or any Grant unless it impairs the rights of the employees, without their consent. While the amendment seems procedural, the document outlining Concord Enviro Employee Stock Option Plan 2022 (ESOP 2022) is not available on the company’s website. For shareholders to make an informed decision, it is essential that the material terms of ESOP 2022 are clearly outlined in the notice to shareholders. Given the lack of any details on ESOP 2022, we are unable to support the resolution

2 for3 against - To approve the remuneration of Mr. Prerak Goel, Executive Director for the financial years 2025-26 and 2026-27
Against Invesco Mutual Fund
- Invesco Mutual FundPrerak Goel, 46, is promoter and Executive Director. He has over 21 years of experience in organizational strategy, financial strategy and management, fund raising and investor management and international sales. He has been associated with the company since 10 August 2009. He has attended all ten (100%) board meetings held in FY25. He received Rs. 2.0 mn in FY25 from the company. We estimate his annual remuneration at Rs. 12.2 mn from the company. We note that the company is revising his fixed remuneration to Rs. 2.2 mn from Rs. 2.0 mn and his variable pay terms — previously well-defined with PAT targets, are now simply capped at Rs. 10.0 mn. This is a deterioration in structure - the company should provide a clear rationale for modifying the remuneration structure and disclose the specific performance metrics that will govern the revised variable pay. Further, he is MD, Rochem Separation Systems (India) Pvt Ltd (RSSPL) – a wholly owned subsidiary from where he received Rs. 28.0 mn as remuneration in FY25 – there is no clarity on future remuneration from RSSPL. We also raise concern that he is a part of the Audit Committee (AC) which could create opportunities for a conflict of interest. We believe the AC must comprise only non-tenured independent directors. While his remuneration from the company is reasonable, we are unable to support the resolution given the lack of clarity on remuneration from RSSPL. We do not support the resolution.
