Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Angel One Mutual Fund, DSP Mutual Fund, Jio BlackRock Mutual Fund, Navi Mutual Fund
- Angel One Mutual FundGovernance concern: Non-Compliant Audit Committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.
- DSP Mutual Fund, Jio BlackRock Mutual FundWe have relied upon the auditors’ report which has placed an emphasis of matter, in the financial statements, in respect of possible tax benefits arising out of deferred tax assets and increase in arising from change in the method of depreciation. Based on the auditors’ report, which is unqualified, the financial statements are in accordance with generally accepted accounting policies. Typical of public sector banks, Central bank of India has four joint auditors. The audit committee must provide clarity on how it establishes accountability of these auditors and ensures that issues do not fall through the cracks, while allocating audit responsibilities. We raise concern that during FY 2026 and FY 2025, 86 and 1003 frauds amounting to Rs. 5.9 bn and Rs 1.2 bn respectively, were reported. Even though the number of frauds has reduced, the total amount involved therein has increased by 391.7%. The bank must articulate the steps it has taken to limit the risks of such frauds in the future. The high value of frauds indicates a serious internal governance lapse and weak control environment within the bank. Further, we raise concern that the company has not constituted an audit committee in line with regulations and does not have sufficient independent directors on the board. In the absence of critical oversight provided by the audit committee, we are unable to support the resolution.
- Navi Mutual FundUnqualified Financial Statements. Governance concern: Non-Compliant Audit Committee. Absence of a compliant Audit Committee casts serious doubts over the integrity/ accuracy of the financial statements.
