An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against Old Bridge Mutual Fund
    • Old Bridge Mutual FundShiju Jacob Kallarakal received a remuneration of Rs. 9.8 mn in FY26. He also received commission from subsidiaries aggregating Rs. 3.0 mn in his capacity as a Non-Executive Non-Independent Director. As per the terms of reappointment, we estimate his annual remuneration to be Rs. 11.5 mn. We believe this remuneration is commensurate with the size and complexity of the company’s operations. We raise concern that the terms include reimbursement travel expenses for self and family. We believe these expenses are personal in nature and should be borne by the directors individually and not by the company. While we support his reappointment as Executive Director, we do not support the remuneration terms. We do not support this resolution.

  • Item 1, as a fund house numbered it
    Against Taurus Mutual Fund
    • Taurus Mutual FundWe have relied upon the auditors’ report, which is qualified. The company’s non-current trade receivables as on 31 March 2023 include certain long outstanding receivables aggregating Rs. 56.6 mn due from various municipal corporations, which are under dispute but considered good and recoverable by the management. However, in the absence of sufficient appropriate audit evidence to corroborate the management’s assessment of recoverability of these balances, the auditors are unable to comment on adjustments, if any, that may be required to be made to the carrying amounts of such receivables as on 31 March 2024 and the consequential impact, on the accompanying financial statements. Further, the internal financial controls have been qualified due to the same reason. The auditors have also raised an emphasis of matter regarding the search operation carried out by the Income Tax Department during October 2021 and demand orders received by the Company in the current year. The auditors are unable to ascertain the impact on the financial statements given the uncertainty and pending outcome of the assessment. Given this, we are unable to support the resolution. The auditors have also noted the company and its subsidiaries have used an accounting software for maintaining their books of account which has a feature of recording audit trail (edit log) facility and the same has been operated throughout the year for all relevant transactions except that the audit trail recording feature was not enabled at the database level for accounting software to log any direct data changes.
