An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against SBI Mutual Fund
    • SBI Mutual FundWe have relied upon the auditors’ report, which has issued a qualified opinion on the consolidated financial statements. The qualification pertains to the qualified opinion issued by the auditors of Alembic Pharmaceuticals Limited (APL), an associate of Alembic Limited. Alembic Limited holds 28.54% equity stake in APL as on 30 June 2023. The auditors of APL have issued a qualified opinion on standalone and consolidated financial statements as the company has withdrawn Rs. Rs. 10.26 bn from general reserve and transferred the same to statement of profit and loss as an ‘exceptional item’. The said treatment, in the auditor’s opinion, does not meet the criteria of ‘income’ under the Indian Accounting Standards and had the said treatment not been done, the PAT would have reduced by Rs. 10.26 bn, general reserve would have increased by Rs. 10.26 bn and EPS would have reduced by Rs. 52.18 on a standalone and consolidated basis. The auditors of APL have also raised an emphasis on transfer of Rs. 8.69 bn from general reserve to other equity pending approval from regulatory authorities. The auditors of Alembic Limited have also raised an emphasis on the status of liability pending electricity duty matters.
