An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

- Axis Mutual FundMs. Rajashree Birla, 79, is a part of the promoter family and serves as the Chairperson of the Aditya Birla Centre for Community Initiatives and Rural Development. The company seeks shareholder approval through a special resolution for her continuation on the board as she has attained 75 years of age, as required under amendments to SEBI’s LODR. She has been on the board since 5 May 2015. Ms. Rajashree Birla attended six out of nine (67%) board meetings held in FY25 and sixteen out of twenty-three (70%) board meetings held over the past three years. We expect directors to attend all board meetings and, at a minimum, 75% board meetings over a three-year period prior to their reappointment. Given her low board meeting attendance, we are unable to support her reappointment as Non-Executive Non-Independent Director.

- Axis Mutual FundR. K. Dalmia, 71, has served as the Managing Director of Aditya Birla Real Estate Limited since August 2022. He attended eight out of nine (89%) board meetings held in FY25. The company seeks shareholder approval through a special resolution for his reappointment as he has attained 70 years of age, as required under amendments to SEBI’s LODR. He is not liable to retire by rotation, however, we take comfort from his fixed tenure as Managing Director, after which shareholder approval will be required for his continuation on the board. R. K. Dalmia’s FY25 pay aggregated Rs. 64.7 mn. We estimate his FY26 pay at Rs. 60.6 mn, excluding ESOP benefits. While he has not been granted any stock options to date, he is eligible to receive them. However, no guidance has been provided regarding future grants nor is there an absolute cap in place. Therefore, we are unable to ascertain his aggregate pay for FY26. The company must cap the overall pay in absolute terms and disclose/ quantify the stock options that he is eligible to receive, including the performance metrics which determine the variable pay. While we support his reappointment as Managing Director, due to lack of adequate disclosures with respect to stock option grants, we are unable to make an informed decision with respect to the remuneration. Therefore, we do not support the resolution.

- Kotak Mahindra Mutual FundABREL proposes to divest its pulp and paper undertaking, operated under the name of Century Pulp and Paper and located in Lafkuan, Uttarakhand, as a going concern on a slump sale basis to ITC Limited, for a consideration of Rs. 34.98 bn on a cash free and debt free basis. The undertaking accounted for 91.0% of ABREL s standalone sales and 71.7% of consolidated sales for FY25. The sale follows a competitive bidding process initiated by ABREL, during which ITC emerged as the highest and most credible bidder. The sales proceeds will be used to repay ~Rs. 20.0 bn of debt relating to the pulp and paper undertaking, with the remaining earmarked for expanding ABREL s real estate business, including land acquisitions. With textile business discontinued and pulp and paper to be divested, ABREL s continuing operations will comprise real estate and other businesses like rayon yarn, salt works, and chemicals. The company has not disclosed the valuation report. Without the valuation report and the methodology used to arrive at the valuation, it becomes increasingly difficult for the shareholders to know whether the Company is receiving the fair value for the undertaking that is being sold. Hence, we do not support the resolution. So, we are voting against.

Mutual fund votes, meeting of 9 Mar 2023, 9 fund houses
- 1) Approve CTIL Employee Stock Option Scheme 2023 under which up to 1,725,000 stock options will be granted.
Against SBI Mutual Fund
- SBI Mutual FundThe company’s CTIL Employee Stock Option Scheme 2023 is for issuance of up to a maximum 1,725,000 options, through secondary acquisition under the trust route. The exercise price of the stock options will be the average purchase price of shares acquired through secondary acquisition by the trust and will not be less than the face value of the shares. Since the acquisition by the trust will be in one or more tranches, and grant could be at a much later date, there is a likelihood that granted options could be at a discount higher than 20%. The vesting of options is both time and performance based, however the company has not provided granular details of the performance parameters for vesting. We do not favor ESOP schemes where the options are granted at a significant discount to market price. We believe ESOPs are ‘pay at risk’ options that employees accept at the time of grant. Further, with a potential deep discount to market price, there is no alignment between the interests of investors and those of employees.
