Against Angel One Mutual Fund, Bandhan Mutual Fund, Bank of India Mutual Fund, Groww Mutual Fund, Mirae Asset Mutual Fund, Motilal Oswal Mutual Fund
- Angel One Mutual FundGovernance & Transparency Concern: Benefit extended to Associate Company(ies) without cost reimbursement provision. While extending such benefits to subsidiaries may be acceptable due to the Company’s control and consolidation of their performance, the same rationale does not apply to associates or group entities. The Company should disclose a clear justification and intended rationale for such grants, as the associated costs would be borne by the Company. Further, concern identified in the Original scheme due to Non-Disclosure of Exercise Price.
- Bandhan Mutual Fund, Groww Mutual FundCompliant with law. Governance & Transparency Concern: Benefit extended to Associate Company(ies) without cost reimbursement provision. The Company should disclose a clear justification and intended rationale for such grants, as the associated costs would be borne by the Company. Further, concern identified in the Original scheme due to Non-Disclosure of Exercise Price.
- Bank of India Mutual FundOur view on the resolution is linked to our view on the overall scheme. Under Zaggle ESOP 2022, vesting for 60% of the options is performance based and the balance 40% is time based. However, the company has not disclosed performance criteria for vesting of the options. The exercise price has also not been defined and shall be determined by the NRC from time to time. We do not favour ESOP schemes where options are granted at a discount of more than 20% to the market price or where there is no clarity on the performance metrics for vesting. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to the market price. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees. Further, while we support the extension of ESOP schemes to the employees of unlisted holding and unlisted subsidiary companies, we do not support the extension to associate companies, as these associates may have their own ESOP Schemes currently or in the future. We do not support the resolution.
- Mirae Asset Mutual FundAs per advisory recommendation (Passive holding)

- Re-designation of Mr. Arun Vijaykumar Gupta (DIN: 05131228) as an Independent Director of the Company for the period of 2 (Two) years.
Against Bank of India Mutual Fund, LIC Mutual Fund
- Bank of India Mutual FundArun Vijaykumar Gupta, 53, has over three decades of experience in IT, media and consumer companies. He has expertise in private equity, mergers and acquisitions, business development, marketing, growth, partnerships, strategic planning, governance, leadership, and general management. He was appointed as Non-Executive Non-Independent Director in September 2022. At the time of his reappointment in the FY24 AGM, the company had clarified that he is classified as Non-Executive Non-Independent Director since the board composition was already in line with regulations on Independent director composition. The company proposes to redesignate him as Independent Director for two years from 4 October 2022. He has attended seven board meetings till date in FY25. He has attended seven out of eighteen (38.9%) board meetings held in FY24 and twenty-two out of thirty-five (62.8%) board meetings since his appointment on 26 September 2022. We expect directors to attend all board meetings and have a threshold of 75% board attendance over three years. Given his low attendance, we do not support his appointment. Further, the company must provide granular details regarding his past experience.

- Bank of India Mutual FundThe company raised Rs. 3.6 bn (net proceeds) through fresh issue of shares at the time of the IPO in September 2023 which are to be utilized for customer acquisition and retention, and for development of technology and products. As of 30 September 2024, Rs. 1,487.01 mn is pending utilisation. The company is required to complete the deployment of the IPO net proceeds by FY26.The resolution allows the company to raise Rs. 9.5 bn through equity or through debt. The company should have sought approval for raising equity or debt via separate resolutions. Assuming the issue price is the current market price (Rs. 410.7 closing price as on 13 November 2024), the company will have to issue ~23.1 mn shares resulting in a dilution of ~15.9% on the expanded capital base as on 30 September 2024: which is relatively high. As on 30 September 2024 the company’s standalone debt stood at Rs. 555.2 mn (including short term debt of Rs. 513.8 mn) and debt to equity ratio stood at 1x. While we recognize that the company’s growth strategy includes inorganic expansion, the company should have disclosed a detailed rationale for the need to raise substantial funds just one year after the IPO. Further, the resolution is enabling in nature and allows the company to utilize the funds for repayment/prepayment of loans and working capital requirements of its associates. Hence, we do not support the resolution.

Against Bank of India Mutual Fund
- Bank of India Mutual FundArun Vijaykumar Gupta, 53, has over three decades of experience in IT, media and consumer companies. He has expertise in private equity, mergers and acquisitions, business development, marketing, growth, partnerships, strategic planning, governance, leadership, and general management. He has attended seven out of eighteen (38.9%) board meetings held in FY24 and 53.4% board meetings since his appointment on 26 September 2022. We expect directors to attend all board meetings and have a threshold of 75% board attendance over three years. The company has clarified that he is classified as Non-Executive Non-Independent Director since the board composition was already in line with regulations on Independent director composition. Given his low attendance, we do not support his reappointment.

How money raised was used
Reported for the quarter to Jun 2026. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
