Exchange had sought clarification from Visu International Limited with respect to announcement dated June 15, 2015 regarding outcome of meeting of the Board of Directors of the Company held on June 15 2015. The Company, has vide email dated June 20, 2015 has clarified as below: a) M/s VISU ACADEMY LTD which is 100% subsidiary of VISU INTERNATIONAL LIMITED has contributed the following Results for the Financial Year 2013-14 as follows - 1. Turnover Rs 10.95 Crores 2. Net Worth of Visu Academy Ltd 1.53 Cr b) Company is in the process of finalising the Buyer, Company have already shortlisted some prospective buyers, Once buyer Finalised, it takes three months from the date of finalisation of Buyer. c) Buyer not yet finalised negotiations are going on. d) So far Company did not deal with any related party. However Company took all reasonable steps in the process of selling and selling price shall be decided by the demand. e) All disclosure required to be made will be addressed as per applicable rules and regulations.16 Jun · Legal

On basis of above the Company is required to clarify following: a) The amount and percentage of the turnover or revenue or income and net worth contributed by such unit or division of the listed entity during the last financial year; b) The expected date of completion of sale/disposal; c) Brief details of buyers and whether any of the buyers belong to the promoter/ promoter group/group companies. If yes, details thereof. d) Whether the transaction would fall within related party transactions?
