An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against SBI Mutual Fund
    • SBI Mutual FundSreedar Mohan & Associates will replace S. Bhalotia & Associates, who complete their four-year term at this AGM. S. Bhalotia & Associates were appointed at the 2022 AGM. The aggregate fee paid to them for FY26 was Rs. 0.1 mn. The proposed audit fee for Sreedar Mohan & Associates is Rs. 0.8 mn for FY27, including tax audit, plus applicable taxes and out-of-pocket expenses. The Board will set the fee for the rest of their term on the Audit Committee's recommendation. The company attributes the material increase in proposed fee to the expanded scope and complexity of the audit and the larger scale of operations. Although, the proposed fee is commensurate with the size of the business, the company has not explained why the auditor appointment is for a term of two years, when Section 139(1) of the Companies Act, 2013 requires a five-year term. We do not support the resolution.

  • To approve Vintage Coffee and Beverages Limited - Employee Stock Option Scheme 2026 (‘VCBL ESOS- 2026').
    Against SBI Mutual Fund
    • SBI Mutual FundVCBL ESOS- 2026 has a pool size of 3,000,000 resulting in an overall dilution of ~2.0% on the expanded capital base. As per the plan the exercise price shall be determined by the Nomination and Remuneration Committee (NRC) and options granted shall vest not earlier than one year and not later than five years from the date of grant. The NRC is empowered to implement and decide the vesting schedule to suit the needs of the organization. Stock options are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount. Issuance of stock options at a significant discount (>20%) to market price does not align the interests of shareholders with those of employees unless the options vest based on clear performance based parameters. In case of VCBL ESOS- 2026, there is no clarity on the exercise price. Therefore, in the absence of clarity and vesting not linked to performance criteria, we are unable to support the resolution.

  • Issue of upto 42,00,000 Convertible Warrants to Promoters and Promoter Group on Preferential Basis.
    Against SBI Mutual Fund
    • SBI Mutual FundShareholders approved the issue of 2.4 mn warrants at Rs. 124.0 each (Rs. 297.6 mn) at the EGM on 30 July 2025. Of the 1.9 mn warrants allotted on 11 September 2025, 0.8 mn were converted by a promoter on 7 July 2026. The remaining 1.1 mn warrants, of which 1.0 mn are held by promoters, are due for conversion by 11 March 2027.The company now seeks approval for a fresh warrant issue to promoters, for capital expenditure, working capital and general corporate purposes. It has not explained the need for further funding while earlier warrants remain unconverted. Notwithstanding, we do not support the issue of warrants to promoters. Warrants allow promoters to benefit from stock price movements over an 18-month period, while bringing in only 25% of the issue price upfront. The balance 75% is payable at the time of conversion. If promoters choose not to convert, this could materially affect the company's funding plans. We encourage promoters to participate through a preferential issue of equity shares, where the full amount is brought in upfront. We do not support the resolution.

How money raised was used

Reported for the quarter to Jun 2026. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
