An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Axis Mutual FundMs. Vinati Saraf Mutreja, 40, is the promoter, Managing Director and Chief Executive Officer. She was reappointed as MD and CEO from 27 October 2023 till 31 March 2028. Now, the company proposes to revise her remuneration from 1 April 2025. Her current remuneration terms include basic salary in the range of Rs. 1.8 mn - Rs. 3.6 mn per month and a variable pay component not exceeding 1% of net profits. Ms. Vinati Saraf Mutreja’s FY24 pay aggregated Rs. 24.0 mn and her FY25 pay is estimated to be Rs. 74.4 mn (based on H1FY25 RPT filings). The company now proposes to increase the scale of her basic salary to Rs. 3.6 mn - Rs. 7.2 mn per month. Based on these revised terms, we estimate her FY26 remuneration at Rs. 139.1 mn (including variable pay). We raise concerns that in a span of ~17 months from her reappointment, the company is effectively doubling her fixed pay. Instead of raising the fixed pay, the company must pay the variable pay component in her remuneration, link the variable pay to company performance and disclose performance metrics which determines her variable pay. Further, the overall promoter remuneration could be high for the size of business, since all three promoter executive directors are entitled to performance linked incentive not exceeding 1% of net profits each. Thus, we do not support the resolution.
    • Bandhan Mutual Fund, Edelweiss Mutual Fund, Groww Mutual FundCompliant with law. Governance Concern: No cap on Variable Pay. Director’s Remuneration appears skewed. Significant potential increase in revised remuneration without adequate justification.

    • HSBC Mutual FundVinati Saraf Mutreja will be paid the proposed remuneration irrespective of the company's financial performance during his tenure. Her remuneration structure is open-ended, and the board retains significant discretion in determining her variable pay outcomes. There are no disclosures on the threshold and target performance that she needs to achieve to determine the variable pay element. The company has failed to provide a compelling rationale to increase the fixed pay by 100%.

Her proposed remuneration terms include performance incentive which will be determined by the board and is capped at 1% of profits. Against Bank of India Mutual Fund, Edelweiss Mutual Fund, HSBC Mutual Fund
    • Bank of India Mutual FundVAPL is a promoter-owned company and has set up a plant which will manufacture products which will constitute forward integration for Vinati Organics Limited (VOL’s) existing products. VOL and VAPL are proposed to be amalgamated and the scheme has been approved by the boards of VOL and VAPL, and is pending regulatory/shareholder approvals. Due to delay in receiving regulatory approval for the amalgamation, VAPL has sought additional funding of Rs. 1.0 bn in FY23. The loans will be extended at a simple interest of 6.25% per annum and will be repayable on demand. The borrowing rate of 6.25% p.a. does not reflect the credit risk associated with the borrower and the unsecured nature of the loan. It is unclear how the loans are at arm’s length price given that VAPL has borrowed at higher interest rates from banks. The company must clarify the process followed by the audit committee in determining arm’s length pricing for these loans.
    • Edelweiss Mutual FundRelated party transaction involving conflict of interest
    • HSBC Mutual FundA vote AGAINST this resolution is warranted since there are material conflicts of interest and the company will be taking in a disproportionate amount of risk without a compelling justification.

    • Bank of India Mutual FundVAPL is a promoter-owned company and was setting up a plant to manufacture anti-oxidants for petrochemicals in FY22. Vinati Organics Limited (VOL) and VAPL are proposed to be amalgamated: the scheme has been approved by the boards of VOL and VAPL and is pending regulatory/shareholder approvals. VOL has extended loans of Rs. 1.2 bn at a simple interest of 6.25% per annum. The company had also entered into other operational related party transactions. We believe the borrowing rate of 6.25% p.a. does not reflect the credit risk associated with the borrower and the unsecured nature of the loan. It is unclear how the loans are at arm’s length pricing given that VAPL borrows at higher interest rates from banks. The company must clarify the process followed by the audit committee in determining arm’s length pricing for these loans.

    • Bank of India Mutual FundThe transactions are being undertaken due to delay in receiving approval for merger of VAPL with VOL. The proposed transaction limit of Rs. 5.0 bn includes sale / purchase of materials and services of Rs. 4.0 bn and loans of Rs. 1.0 bn. While we support the operational transactions, we are unable to support the resolutions since the loan to VAPL will be at 6.25% simple interest, which does not reflect the credit risk of the borrower and the unsecured nature of the loan (refer resolution #6). It is unclear how the loans are at arm’s length price given that VAPL has borrowed at higher interest rates from banks.
