An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against HSBC Mutual Fund
    • HSBC Mutual FundA vote AGAINST the following nominees is warranted because: • Sura Geeta Reddy has failed to attend at least 75 percent of board and committee meetings in the most recent fiscal year, without a satisfactory explanation.

  • To ratify the remuneration of Cost Auditor for the financial year ending March 31, 2027.

  • Amendments to VDCL Employee Stock Option Plan, 2018.
Against Angel One Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, HSBC Mutual Fund, Jio BlackRock Mutual Fund, Navi Mutual Fund
    • Angel One Mutual FundCompliance, Governance and Transparency Concerns identified on the underlying pool / schemes. Interconnected with Resolution #7.
    • DSP Mutual Fund, Jio BlackRock Mutual FundThe company seeks approval to increase the pool size to reward employees for its sustained growth. The company has stated that its diagnostic network has expanded from 81 centres to 162 centres, which has resulted in a substantial increase in the company's employee base. Only 162,414 stock options remain in the present pool size. With the proposed increase in pool size and residual stock options left in the existing pool, the overall dilution shall be ~2.1% of the expanded capital base as on 30 June 2026. The maximum exercise period shall be ten years, which we believe to be excessive. Further, the exercise price for the expanded pool size shall be at a discount of up to 30% on the average closing price of the company’s shares during the three months preceding the month of the grant date. We do not favour ESOP schemes where the exercise price can be at a significant discount (greater than 20%) to market price. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the options are issued at significant discount to the market price. The vesting appears to be time based with criteria such as company joining date, grade of the employee, performance, period of service with the company or subsidiary, criticality or any other criteria. In case of a deep discount we expect the vesting of the stock options to be based on clearly defined performance metrics along with a confirmation that the targets along with their achievement will be disclosed by the company in the subsequent annual reports. Given the lack of clarity on the exercise price and the long exercise period, we do not support the scheme. Hence, we do not support the resolution.
    • Edelweiss Mutual Fund, Navi Mutual FundProposed Amendment is Compliant with law. However, Compliance, Governance and Transparency Concerns identified on the underlying pool / schemes. Interconnected with Resolution #7.
    • HSBC Mutual FundA vote AGAINST the resolution is warranted because: • The scheme permits stock options to be issued with an exercise price at a discount to the market price on grant date.

  • Notification and approval of VDCL Employee Stock Option 2018 – Scheme 7 ("the Scheme - 7") and grant of options under the Scheme to the Eligible Employees/Grantees of the Company under the Scheme.
Against Angel One Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, HSBC Mutual Fund, Jio BlackRock Mutual Fund, Navi Mutual Fund
    • Angel One Mutual FundExercise period is inadequately disclosed, the Nomination and Remuneration Committee having power to alter vary Exercise Period under the proposed Scheme 7. Governance and Transparency Concern: Potential maximum economic benefits to a single employee appears to be disproportionate/excessive considering the size of operation and performance of the Company.
    • DSP Mutual Fund, Jio BlackRock Mutual FundThrough resolution #7, the company proposes to use the amended scheme to introduce a sub-scheme of VDCL Employee Stock Option Plan 2018 – Scheme 7. Our views on this resolution are linked to our views on Resolution #6. We do not support the resolution.
    • Edelweiss Mutual Fund, Navi Mutual FundNon-compliance with SEBI (SBEB & SE) Regulations, 2021: Exercise period is inadequately disclosed, the NRC having power to alter vary Exercise Period under the proposed Scheme 7. Governance and Transparency Concern: Potential maximum economic benefits to a single employee appears to be disproportionate/excessive considering the size of operation and performance of the Company.
    • HSBC Mutual FundA vote AGAINST the resolution is warranted because: • The scheme permits stock options to be issued with an exercise price at a discount to the market price on grant date.

    • Axis Mutual Fund, Bank of India Mutual Fund, Jio BlackRock Mutual Fund, SBI Mutual FundSunil Chandra Kondapally, 50, is part of the promoter family and serves as Whole-time Director. He has been associated with Vijaya Diagnostic Centre Limited since inception. He also serves as Managing Director of Medinova Diagnostic Services Ltd. (a listed subsidiary), which is being merged into Vijaya Diagnostic Centre Limited. He also founded pharmaceutical companies Trikona Pharmaceuticals Private Limited in 2016 and QPS Bioserve India Private Limited in 2004. While his reappointment is in line with statutory requirements, we raise concern over his low board meeting attendance. He attended three out of five (60%) board meetings held in FY25 and ten out of fifteen (67%) board meetings held in the past three years. We expect directors to attend all board meetings and have a threshold of 75% attendance over a three-year period. Given his low attendance, we do not support the resolution.
