An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Bank of India Mutual Fund
    • Bank of India Mutual FundKapil Makhija, 44, was appointed as Whole-time Director designated as CEO from 12 September 2017 and subsequently appointed as Managing Director and CEO from 19 December 2023. He is responsible for driving the company’s growth strategy and business execution and oversees its technology and corporate functions. He attended all six (100%) board meetings held in FY25. There is discrepancy in his past pay disclosures: The annual report states that he was paid Rs. 32.3 mn in FY24 and Rs. 26.0 mn in FY25, whereas the notice records his pay as Rs. 28.2 mn in FY24 and Rs. 32.3 mn in FY25. The company must clarify the reason for this discrepancy. His pay is not in line with industry peers and is not commensurate with size and scale of business operations. The company now seeks shareholder approval to pay him Rs. 32.3 mn for FY26, excluding perquisites and ESOP benefits as minimum remuneration. He received Rs. 10.1 mn for the term – 1 April 2025 to 31 August 2025. He was last granted 3,700 options (947,200 options post-bonus issue) in FY23 (pre-listing), with fair value aggregating Rs. 29.3 mn. The company has not provided guidance regarding his future grants nor is there an absolute cap in place. Therefore, we are unable to ascertain his aggregate pay for FY26. The company must quantify the stock options that he is eligible to receive, including the performance metrics which determine the variable pay. In the absence of disclosures, we do not support the resolution.

Mutual fund votes, meeting of 19 Apr 2025, 6 fund houses

  • To offer, issue and allot Equity Shares on Preferential Basis.
Against Bank of India Mutual Fund, Nippon India Mutual Fund
    • Bank of India Mutual FundAs per the company’s filing dated 11 November 2024 and the postal ballot notice dated 20 March 2025, Unicommerce eSsolutions Limited (Unicommerce) had acquired a 42.76% equity stake (on a fully diluted basis) in Shipway for a cash consideration of Rs. 684.0 million. However, a corrigendum, issued by the company on 7 April 2025 states that it had acquired a 47.51% stake for the same consideration. The company is now seeking shareholders’ approval to acquire the remaining equity through a stock swap arrangement. We expect the company to disclose the financials of Shipway. The share exchange ratio will be 79,279.8 equity shares of face value Re. 1 each in Unicommerce for every 100 equity shares of Rs. 10 each in Shipway. The residual shareholders of Shipway will be issued ~6.0 mn shares of Unicommerce as consideration. We raise the following concerns regarding the proposed transaction: (i) It is unclear if Unicommerce acquired 42.76% equity stake or 47.51% equity stake in Shipway in November 2024 for a consideration of Rs 684.0 mn. (ii) As per the current valuation report, Shipway is valued at Rs. 1,790.68 mn. This represents a 24% increase compared to Shipway’s valuation when Unicommerce acquired 47.51% equity stake in November 2024. The company has not disclosed a rationale for the increase in Shipway’s valuation within four months. Given the lack of clarity regarding Unicommerce’s shareholding in Shipway and the increase in Shipway’s valuation, we are unable to support the resolution.

    • HDFC Mutual FundSoftbank and B2 capital can appoint a nominee director on the board as long as they hold 8% of the equity share capital: which is low. We do not support the resolution.
    • Kotak Mahindra Mutual FundThe Company is seeking shareholders approval for the alteration of the Articles of Association ( AoA ). Clauses 23.1.2.2 and 23.1.2.3 provide a special right to the promoter group to nominate Non-Executive, Non-Independent directors to the Board. The primary role of NRC is to identify and recommend appropriate personnel to the Board, on the basis of criteria formulated by them. Once the proposed Articles are approved, NRC s role will be restricted towards showing an approval sign to the nominations proposed by the promoter group. The proposed clause appears to undermine the spirit of the law laid regarding the role of NRC. Hence, we are voting against.
    • Motilal Oswal Mutual FundCompliant with law; Governance concern: Provisions which might undermine the role of NRC Committee; Disproportionate rights to nominate 1 director with 8% equity.

Against Aditya Birla Sun Life Mutual Fund, Bank of India Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, Franklin Templeton Mutual Fund, ICICI Prudential Mutual Fund, Kotak Mahindra Mutual Fund, Nippon India Mutual Fund
    • Aditya Birla Sun Life Mutual Fund, Bank of India Mutual Fund, DSP Mutual FundAs per the thresholds under Section 186, the company has an automatic limit of Rs. 0.5 bn. The company proposes to increase its limits under section 186 to Rs. 2.5 bn, which is about 5.4x the current automatic limit. In November 2024, the company announced an acquisition of 100% equity stake in Shipway Technologies Private Limited (Shipway). The company will acquire 42.76% equity stake (on a fully diluted basis) for a cash consideration of Rs. 684.0 mn and the remaining stake for consideration other than in cash by way of a merger or stock swap at a later date.Part of the limit under section 186 will be utilized to acquire 100% stake in Shipway. While we understand the need to raise limits for the Shipway acquisition, there will be additional headroom available, which is enabling in nature: it could allow the company to give loans / guarantees / provide securities to any body corporates in which directors are interested, including promoter companies. The company must disclose granular details including names of these companies, the nature and size of their operations and terms of support, to enable shareholders to make an informed decision. Thus, we do not support the resolution.
    • Edelweiss Mutual FundCompliant with law. Governance & Transparency Concern: Lack of adequate justifications & disclosure. Umbrella approval to cover any person/entity in the proposed limit.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted because the proposal gives flexibility to provide financial assistance to subsidiary/associate/body corporate other than that for Shipway Technologies Private Limited, and there is insufficient information on recipient of such financial assistance and deployment schedule of funds. The company may take a disproportionate amount of risk relative to its ownership stake without a compelling justification.
    • ICICI Prudential Mutual FundThe company has not disclosed granular details including names of these companies, the nature and size of their operations and terms of support, to enable shareholders to make an informed decision. Hence, the AMC has voted against the resolution.
    • Kotak Mahindra Mutual FundThe Company is seeking shareholders approval under Section 186 of the Companies Act, 2013 to give any loan to any person or other body corporate or give guarantee or provide security in connection with a loan to any other body corporate or person or make investments. However, the company has provided generic disclosures for the proposed resolution. A specific / detailed disclosure(s) under such approval requests enable shareholders to gauge the risks and profit prospective, thereby enabling them to take informed decision on the matter. Hence, on basis of governance and transparency concern, voting against.

    • Aditya Birla Sun Life Mutual Fund, Bank of India Mutual Fund, DSP Mutual Fund, SBI Mutual FundThrough the proposed alterations, the company seeks allow AceVector Limited (promoter) to nominate and appoint majority directors on the board. Further the proposed articles will allow financial investors, Softbank and B2 Capital, to nominate one non-executive director each to the board of the company. We do not support board nomination rights to the promoters and investors without a minimum shareholding threshold. Further, AceVector Limited will have the right to control the management, policy decisions and day to day operations of the company. We do not support such control rights which are embedded in the AoA. Hence, we do not support the resolution.
    • Edelweiss Mutual FundCompliant with law. Governance Concern: Nomination Rights enshrined in articles undermine NRC’s role. Decision-making powers w.r.t Managerial & Policy Matters extended to Promoter.
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted because the proposed modification to the article will provide rights to the promoters and financial investors to appoint directors on the board that may be disproportionate to their shareholding and allows for a disproportionate degree of influence and control over the company.
    • HDFC Mutual FundWe do not support board nomination rights to the promoters and investors without a minimum shareholding threshold
    • ICICI Prudential Mutual FundThe AMC has voted against the resolution on account of following reasons:- a. Nomination rights to the promoters and investors do not have a minimum shareholding threshold b. • To ratify the “Employee Stock Option Scheme 2019”.
Against Aditya Birla Sun Life Mutual Fund, Edelweiss Mutual Fund, Franklin Templeton Mutual Fund, HDFC Mutual Fund, Kotak Mahindra Mutual Fund, Motilal Oswal Mutual Fund, Nippon India Mutual Fund
    • Aditya Birla Sun Life Mutual FundAs per the plan, the company had proposed to grant 53,740 stock options (48,170 options have been granted pre-IPO) to employees of the company and 7,020 (~13.1%) of the pool including lapsed options are available for grant. The scheme will be implemented via fresh issuance of shares. The vesting of options is time based dependent on continuous employment. The exercise price is at the discretion of the NRC and will not be less than the face value per share. We note that in the past the company has granted stock options at an exercise price of the face value per share. There is no clarity on the price at which the remaining stock options will be granted after listing. We do not favour stock option schemes where there is no clarity on exercise price or when options may be granted at a significant discount (>20%) to market price - since stock options are ‘pay at risk’ options that employees accept at the time of grant. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such options is mandatorily linked to pre-defined performance parameters and the company has disclosed the performance targets for such parameters.
