An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Mutual fund votes, meeting of 22 Mar 2024, 5 fund houses

  • Appointment of Mr. Anand Kusre (DIN 00818477) as a Non-Executive Independent Director for a term of five years.
Against DSP Mutual Fund, Franklin Templeton Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual Fund
    • DSP Mutual FundAnand Kusre, 74, was associated with ICICI Bank for 25 years and held leadership roles in project finance, operations, technology development and commercialization programs, etc. He subsequently joined IIT Bombay where he designed and taught courses in innovation, entrepreneurship and management of technology. In 2015, he founded the Desai Sethi School of Entrepreneurship at IIT Bombay. Ipca Laboratories (Ipca) acquired 52.7% equity in Unichem Laboratories in FY24. He has been an Independent Director on the board of Ipca (holding company) since 21 January 2010 and thus his overall association with the promoter group (Godha family) and holding company exceeds ten years. We believe that the length of tenure is inversely proportionate to the independence of a director. Therefore, we consider him as non-independent due to his long association (>10 years) with the group. The company must consider appointing him as Non-Executive Non-Independent Director. He will attain the age of 75 in July 2024. We do not consider age to be a criterion for board memberships. Given his long association with the group, we are unable to support his appointment.
    • Franklin Templeton Mutual FundA vote AGAINST election of Anand Kusre and continuation post attaining age of 75 years is warranted because his current appointment will exceed his association with the company (including holding company) for more than ten years thus, affecting his independence.
    • Groww Mutual FundCompliant with law. Governance concern: Prolonged association.
    • Motilal Oswal Mutual Fund"Non-Compliant with SEBI (LODR) & Companies Act, 2013: Terms and Conditions of the Independent Directors not disclosed on the website. Governance concern: Prolonged association."

  • Appointment of Mr. Arun Todatwal (DIN 00020916) as a Non-Executive Independent Director for a term of five years.
Against DSP Mutual Fund, Motilal Oswal Mutual Fund
    • DSP Mutual FundArun Todarwal, 66, is a practicing Chartered Accountant and Managing Partner of Arun Todarwal & Associates LLP. He has over 40 years of experience in management consultancy, statutory audit, internal audit, management and system audit, due diligence, taxation, international taxation etc. While his appointment is in line with statutory requirements, we are unable to support the resolution. Arun Todarwal serves on the board of four listed companies (including Unichem Laboratories Ltd.). Given their full-time responsibilities, regulations allow whole-time directors of listed companies to be independent directors in a maximum of three listed companies. We believe that as the Partner of Arun Todarwal & Associates LLP, his responsibilities are equivalent to a whole-time directorship of a listed company. Therefore, his high number of directorships on listed companies is not in keeping with the spirit of the regulation. We do not support his appointment as Independent Director.
