An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • quant Mutual FundRes 1-2 Vote: AGAINST Explanation: Regarding the re-appointment and approval of remuneration of Chairman and Whole Time Director Mr Aroon Purie. The resolutions are in non-compliance with law as there has been a delay in approval for continuation of employment of Mr Purie and hence, he becomes ineligible for re-appointment. On other fronts of governance concern, there is no cap in absolute terms on variable pay and on total pay. Also, Mr Poorie, as an Executive Chairman, holding dual positions of heading the company and chairing it, is ill advised from the perspective of good governance and from the perspective of minority shareholder’s long term interests. Hence, we vote against the resolutions. Res 3-4 Vote: AGAINST Explanation: Regarding the re-appointment and approval of remuneration of Vice Chairperson and Managing Director Ms Kalli Purie Bhandal. Compliant with law. We highlight governance concerns that there is no cap in absolute terms on variable pay and on total pay and her individual performance criteria are undisclosed. Also, in the past, it appears that the remuneration to Ms Bhandal has been excessive, growing nearly 3.4x over FY17-FY22 to INR 11.12 crore in FY22, when the company’s profits grew by only ca. 80% to INR 182cr in FY22. Hence, we vote against the resolutions.
