Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Against DSP Mutual Fund, Jio BlackRock Mutual Fund
- DSP Mutual Fund, Jio BlackRock Mutual FundRajiv Dewan, 64, is Partner at R. Dewan & Co., a Chartered Accountancy firm. He served on the board as an independent director from 14 May 2005 till his redesignation as non-executive non-independent director on 30 September 2024. He attended all eight board meetings in FY26. We note that he has been a member of the Nomination and Remuneration Committee (NRC) since May 2014. In this role, he has failed to provide adequate oversight to the manner in which Promoter and Chairperson Emeritus - Rajinder Gupta's remuneration was structured and paid. He has received consultancy fees of Rs. 197.3 mn and Rs. 197.4 mn in FY25 and FY26 respectively. Previously, in FY23 and FY24. Rajinder Gupta was paid Rs. 245.7 mn (aggregate of consultancy fees & commission) and Rs. 205.0 mn respectively. It is unclear how Rajinder Gupta's remuneration has been benchmarked. Further as a member of the NRC, Rajiv Dewan has not paid sufficient heed to the investor pushback on the resolution to pay commission to Rajinder Gupta in the 2022 AGM, where ~64% of institutional investors voted against the resolution.Furthermore, the amended Articles of Association (AoA) allow the board to appoint a Chairperson Emeritus and unilaterally determine their remuneration and amenities (Article 127A[x]), effectively bypassing shareholder approval and denying them the opportunity to vote on the remuneration periodically. We believe shareholders should have the opportunity to have a say on overall remuneration and remuneration structure of Rajinder Gupta. Given these reasons we do not support Rajiv Dewan’s reappointment. We do not support the resolution.

However, the same cannot be argued in case of Associate Entities. Hence, the AMC has voted against the resolution.

- Axis Mutual FundTGCL is engaged in marketing and selling home textiles and related products. TGCL was a wholly owned subsidiary of Trident Limited (TL) till 6 June 2023. Trident Limited executes various commercial transactions with Trident Global Corp Limited (TGCL). These transactions include sale of textile products, availing and rendering of services, e-commerce sales, leasing of premises and other business transactions. The proposed transactions include (i) sale and purchase of goods and services, commission on sales, rent, lease, management service charges received/paid, and others upto Rs. 22.5 bn; and (ii) investment in equity shares of TGCL upto Rs. 2.5 bn for a 30.42% equity stake. Rajiv Dewan has been a member of the Nomination and Remuneration Committee (NRC) since May 2014. In this role, he has failed to provide adequate oversight to the manner in which Promoter and Chairperson Emeritus - Rajinder Gupta's remuneration was structured and paid in FY23 and FY24. Rajinder Gupta's was paid Rs. 205.0 mn in FY24 as consultancy fees and Rs. 245.7 mn in aggregate as consultancy fees and commission in FY23. It is unclear how Rajiv Dewan's remuneration has been benchmarked. Further as a member of the NRC, Rajiv Dewan has not paid sufficient heed to the investor pushback on the resolution to pay commission to Rajinder Gupta in the 2022 AGM, where ~64% of institutional investors voted against the resolution. Furthermore, the amended Articles of Association (AoA) allows the board to appoint a Chairperson Emeritus and unilaterally determine their remuneration and amenities (Article 127A[x]), effectively bypassing shareholder approval and denying them the opportunity to vote on the remuneration periodically. We believe shareholders should have the opportunity to have a say on overall remuneration and remuneration structure of Rajinder Gupta. Given Rajiv Dewan' reasons we do not support the resolution.
