An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • To re-appoint Mr. Nikhil Kumar (Din: 00062243) as Managing Director of the Company for a further term of five years.
Against Bank of India Mutual Fund
    • Bank of India Mutual FundNikhil Kumar, 58, is Managing Director and one of the promoters. He has been associated with the company since April 1999. In FY25, he received Rs. 99.3 mn as remuneration on a consolidated basis, which was high at 4.3% of consolidated PBT and 8.0% of consolidated employee benefit expense. As per the remuneration terms, we estimate the consolidated remuneration for the period from 17 Jan 2026 to 16 Jan 2027 at Rs. 113.7 mn, which is high for the size and complexity of the business. The company has clarified that remuneration cap of Rs. 150.0 mn includes remuneration from subsidiary companies. Although a significant portion of his remuneration is variable, the remuneration structure allows for variable compensation even in case of inadequacy of profits - defeating the purpose of aligning managerial remuneration to company performance. While we recognize that the company has grown under his tenure and support his reappointment as Managing director, we do not the remuneration structure and therefore, we do not support the resolution.
