An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Re-appointment of Mr. Vidur Kanoria, (Din 08709462) as Executive Director and fixing his term of appointment and remuneration thereof
    Against DSP Mutual Fund
    • DSP Mutual FundVidur Kanoria, 32, is part of the promoter family. He is the son of Saket Kanoria – Chairperson and Managing Director. He joined the company in May 2016 as Executive-Business Development. He received a remuneration of Rs. 24.8 mn in FY26. As per his proposed terms, we estimate his FY27 remuneration to be Rs. 29.7 mn. The maximum remuneration payout to him can go up to Rs. 57.3 mn during the proposed tenure. His remuneration is open-ended with no cap on his commission nor his overall remuneration. Given that approval is sought to pay minimum remuneration, the company will be able to pay higher remuneration levels even in case of inadequate profits. We raise concern that substantial portion of his estimated remuneration comprises commission pay (60%), and we expect the company to disclose the performance metrics governing such variable pay. Further, the proposed remuneration of Vidur Kanoria for FY27 is nearly three times to the proposed remuneration of S.G. Nanavati, WTD with more than thirty-seven years of experience. Given these concerns, we are unable to support the resolution.

Mutual fund votes, meeting of 25 Apr 2024, 1 fund house

  • Re-appointment of Mrs. Deepa Harris (DIN:-00064912), as an Independent Director of the Company for second consecutive term commencing from 1st April 2024 to 31st March 2029
    Against DSP Mutual Fund
    • DSP Mutual FundMs. Deepa Harris, 65, is the founder & CEO of BrandsWeLove LLP, a firm specializing in branding and marketing consultancy. Till March 2015, she was the Global head of Sales & Marketing for Taj Hotels, Resorts and Palaces. She is a luxury hospitality and brand specialist with expertise in branding, marketing and sales. She was appointed on the board of TCPL Packaging Ltd. on 2 August 2019. She attended four out of five (80%) board meetings held in FY23 and all five board meetings held in FY24 till the date of notice. The company should have sought shareholders’ approval prior to her reappointment. She is an Independent Director on the boards of four other listed companies (excluding TCPL Packaging Limited). We believe that as CEO at BrandsWeLove, her responsibilities are equivalent to a whole-time directorship. Given their full-time responsibility, regulations allow whole-time directors of listed companies to be independent directors in a maximum of three listed companies. Her high number of directorships is not keeping up with the spirit of the regulation. Thus, we do not support her reappointment as Independent Director.

  • Appointment of Mr. Ashish Razdan (DIN:- 03584734), as an Independent Director of the Company for a term of five consecutive years commencing from 21st March 2024 to 20th March 202
    Against DSP Mutual Fund
    • DSP Mutual FundAshish Razdan, 43, is a Partner at Khaitan & Co. He has experience in advising foreign and Indian corporations, private equity and venture capital investments, franchising and sports and corporate laws. We note that Partners from Khaitan & Co have been on board of TCPL Packaging Limited since 2007. The company should clarify whether any business relationship exists between TCPL Packaging Limited and Khaitan & Co. While his appointment as Independent Director is in line with statutory requirements, we are unable to support the resolution, given the lack of clarity on the continued association of Partners from Khaitan & Co. on the board of the company since 2007.
