An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Tax disputeThe Deputy Commissioner of Income Tax, Circle 2(3)(1), MumbaiSince 7 Feb 2014
Background: For the period FY2009, the Deputy Commissioner of Income Tax, Circle 2(3)(1), Mumbai vide order dated January 10, 2014, had disallowed the claim amounting to ₹813.65 crore towards deduction for interest expenditure under Section 36(1)(iii) of the Income Tax Act, 1961. On February 4, 2014, the Company had filed an appeal against the order before the Authority and the matter was heard over multiple hearings. Current Status: On September 28, 2026, the Company received a favourable order from the Income Tax Appellate Tribunal for FY2009 wherein the claim of deduction for interest expenditure was allowed following the earlier order for FY2008. The tax exposure for FY2009 was ~₹427 crore. Accordingly, the tax exposure against the Company in aggregate (for FY2008 and FY2009) will get reduced from ~₹1,901 crore to ~₹1,259 crore once the Assessing Officer will give effect to the orders of the Tribunal for FY2008 and FY2009 through separate orders. Subsequently, the Company will make necessary adjustments in its contingent liability reported in notes to its Financial Statements. The Company believes that this order will have persuasive impact on co-related pending litigations on the same issue for other years. Appeals pertaining to other Fiscals in relation to the above matter, preferred by the Company are pending before the Income Tax Appellate Tribunal and Commissioner of Income Tax (Appeals).MoreLess

Accordingly, the tax exposure against the Company will get reduced from ~₹1,901 crore to ~₹1,686 crore once the Assessing Officer will give effect to this Order of the Tribunal through a separate order. • Tax disputeThe Office of the Commissioner of CGST & Central Excise, JamshedpurSince 24 Jun 2025
The Hon’ble Supreme Court heard the Company’s Special Leave Petition on August 19, 2026. On August 25, 2026, the Hon’ble Supreme Court pronounced its final judgement in the matter as follows: i. Allowed the appeal filed by the Company; ii. The Show Cause Notice dated June 13, 2025, issued under Section 74 of the CGST Act and the Order-in-Original dated December 26, 2025 issued by the Additional/Joint Commissioner, CGST & Central Excise, Jamshedpur, Jharkhand have been set aside. iii. Granted liberty to the Tax Department, if it thought fit, to initiate appropriate proceedings under Section 74 of the CGST Act, but with the foundational facts, coming out from the notice itself and an order being passed before February 28, 2027. Accordingly, the tax demand of ₹890,52,10,202/-, penalty of ₹890,52,10,202/- and the applicable interest thereon stands quashed.MoreLess
At the filing before: On June 24, 2025, Tata Steel Limited (‘Company’) received a Demand cum Show Cause Notice dated June 13, 2025 (‘SCN’), issued by the Office of the Commissioner of CGST & Central Excise, Jamshedpur, requiring the Company to show cause before the Additional/Joint Commissioner of Central GST & Central Excise, Jamshedpur (‘Adjudicating Authority’) as to why an amount of ₹890,52,10,202/- should not be demanded from the Company towards irregular availing of Input Tax Credit in contravention to the provisions of Sections 16 and 41 of the Central Goods and Services Tax Act, 2017 (‘CGST’) read with applicable provisions of the Integrated Goods and Services Tax Act, 2017 (‘IGST’) for the period FY2018-19 through FY2020-21 along with appropriate interest and penalty. The Company made its detailed submissions before the Adjudicating Authority within the given timelines as per the said SCN. On December 27, 2025, the Company received an Order dated December 26, 2025, passed by the Joint Commissioner of CGST & Central Excise, Jamshedpur, Jharkhand, directing the Company to pay a tax amount of ₹890,52,10,202/-, penalty of ₹890,52,10,202/- and applicable interest on the total amount of tax. The Company believes that proper cognizance was not taken of the submissions made by the Company while adjudicating the matter. The main issue relates to excess Input Tax Credit (‘ITC’) identified by comparing, the ITC claimed in monthly returns as against the ITC reflected in GST Portal. As per the Company, there is no such excess ITC and difference is on account of credit pertaining to one financial year but availed in subsequent financial year which is permissible as per GST Laws. The Company on strong grounds of jurisdiction and merits, challenged the demand and hence, on February 24, 2026, filed a Writ Petition before the Hon’ble High Court of Jharkhand. The said Writ Petition was disposed of vide order dated April 23, 2026, with a liberty granted to the Company to approach the Appellate Authority. Being aggrieved by the Order of Hon’ble High Court of Jharkhand, the Company filed a Special Leave Petition before the Hon’ble Supreme Court of India (‘Hon’ble Supreme Court’), challenging the said Order of the Hon’ble High Court of Jharkhand. The Company is of the considered view that it has a good case on merit and hence will contest the same before the Appellate Authority within the statutory timelines.
At the filing before: On June 28, 2025, Tata Steel Limited (‘Company’) received a Show Cause cum demand Notice dated June 27, 2025 (‘SCN’), issued by the Office of the Commissioner (Audit), Central Tax, Ranchi, requiring the Company to show cause before the Additional/Joint Commissioner of Central GST & Central Excise, Jamshedpur (‘Adjudicating Authority’) as to why an amount of ₹1007,54,83,342/- shall not be demanded/recovered from the Company towards irregular availment of Input Tax Credit in contravention of the provisions of Section 74(1) of the Central Goods and Services Tax Act, 2017/State Goods and Services Tax Act, 2017 (‘CGST/SGST’) read with Section 20 of the Integrated Goods and Services Tax Act, 2017 (‘IGST’) for the period FY2018-19 through FY2022-23, along with appropriate interest and penalty. Of the aggregate GST amount demanded, the Company had already paid GST of ₹514,19,36,211/- in the normal course of business and therefore the alleged GST exposure of the Company was ₹493,35,47,131/- only. The Company made its detailed submissions before the appropriate forum within the given timelines as per the said SCN. Subsequently, on December 18, 2025, the Company received an Order passed by the Commissioner of CGST & Central Excise, Jamshedpur, Jharkhand, directing the Company to pay a tax amount of ₹493,35,47,131/-, penalty of ₹638,82,62,185/- and appropriate interest on the total amount of tax. In the said Adjudication Order, the Adjudicating Authority had dropped the penalty amount of ₹368,72,21,158/- earlier proposed in the SCN. Thereafter, the Company filed a Writ Petition before the Hon’ble High Court of Jharkhand (‘Hon’ble High Court’) on March 11, 2026, challenging the Order passed by the Commissioner of CGST & Central Excise, Jamshedpur, Jharkhand dated December 18, 2025, and seeking quashing of the Order. The Hon’ble High Court vide its Order dated March 24, 2026, granted stay on all further proceedings relating to this matter, until the next date of hearing. Further, on June 16, 2026, the Assistant Commissioner, Division-I, CGST & Central Excise, Jamshedpur, Jharkhand (‘Department’) filed an appeal before the Commissioner (Appeals) of CGST & Central Excise, Ranchi against the abovementioned Adjudication Order dated December 18, 2025, to the extent that the Adjudicating Authority has dropped the penalty amounting to ₹368,72,21,158/-. The Department had filed an appeal pertaining to the levy of penalty amounting to ₹368,72,21,158/-. However, this matter is, inter alia, contingent upon the final adjudication of the issue concerning the issuance of show cause notices for multiple periods, which is presently sub judice before the Hon’ble High Court.MoreLess

  • Tax disputeDeputy Commissioner of Income Tax, Circle 2(3)(1), MumbaiSince 24 Mar 2025
On July 20, 2026, the Hon’ble High Court of Bombay has restored all the matters involving this issue. The hearing on this matter is currently ongoing. The Hon’ble High Court of Bombay has granted liberty to the Company to amend the writ petition to challenge the constitutional validity of the retrospective amendment in Finance Act, 2026. Further, the tax department has been directed to file its counter affidavit thereafter. The Company continues to believe that it has a strong case on merits apart from the other technical infirmities in the Order. The retrospective amendment introduced by the Finance Act, 2026 would not have any bearing on the merits and other technical infirmities for which the Company is already before the Hon’ble High Court of Bombay.MoreLess
At the filing before: The Company, through its earlier disclosures, had informed that it had received a show cause notice from the Assessing Officer, Office of the Deputy Commissioner of Income Tax, Circle 2(3)(1), Mumbai (‘Assessing Officer’) in connection with waiver of ₹25,185.51 crore loan in favour of Tata Steel BSL Limited (now merged with the Company), for the purpose of reassessment of taxable income for AY 2019-20 (‘Notice’). On March 24, 2025, the Company had filed a writ petition with the Hon’ble High Court of Bombay (‘Hon’ble High Court’), questioning the authority of the Assessing Officer in conducting the reassessment of taxable income for AY 2019-20. The Company had on March 31, 2025, received an Assessment Order issued by the Assessing Officer, reassessing the taxable income for AY 2019-20 and increasing the taxable amount by the amount of debt waived. On August 12, 2025, the Hon’ble High Court heard the matter. As per the order, the Hon’ble High Court had set aside the Notice along with all consequential proceedings and orders on the technical ground that the Notice had been issued by the Jurisdictional Assessing Officer instead of the statutorily prescribed Faceless Assessing Officer. In arriving at this conclusion, the Hon’ble High Court relied on its earlier judgement in a separate matter, which was challenged by the tax authorities before the Hon’ble Supreme Court of India and was pending for adjudication. The order further mentioned that if such precedent is set aside by the Hon’ble Supreme Court of India in the future and the tax authorities seek to revive the matter, the case would then be adjudicated on its merits, including other technical grounds raised by the Company in challenging the reassessment proceedings. Subsequently, the Finance Act, 2026 introduced a retrospective amendment to the income-tax law, to provide that Jurisdictional Assessing Officer shall be empowered to issue reassessment notices. Pursuant to this amendment, the favourable judicial precedents relating to this matter were set aside by the Hon’ble Supreme Court of India and have been remanded back to the respective High Courts for consideration. Accordingly, the writ petition filed by the Company in March 2025, along with similar placed matters, involving this issue was listed by the Hon’ble High Court of Bombay on July 20, 2026, for restoration.MoreLess
