An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Axis Mutual Fund, Bandhan Mutual Fund
    • Axis Mutual FundThe bank is seeking an enabling approval to raise funds through equity linked instruments to maintain CRAR well above 20%, enhance liquidity, strengthen the bank’s ability to manage unforeseen contingencies, support future growth, capitalize on emerging opportunities, and ensure continued regulatory compliance. At the closing market price of Rs. 134.6 per share on 5 February 2026, the bank will have to issue ~74.3 mn shares which will lead to an overall dilution of ~41.1% on the expanded capital base. As on 31 December 2025, the bank’s CRAR is 21.9% and Tier I CRAR is 21.0% respectively, both well above the regulatory requirements of 15% and 7.50%, respectively. While we recognize the bank requires growth capital given the nature of business, the dilution is high and beyond a reasonable threshold of 20%. Further, we note as per the Q3FY26 earnings call, the management has stated that it does not plan to raise capital in the near future and the proposed approval is enabling in nature. We do not support the resolution due to the very high dilution potential.
    • Bandhan Mutual FundCompliant with law. Governance concern: Significant dilution as a consequence of the enabling resolution and there exists adequate buffer between CRAR/Tier 1 capital levels and minimum regulatory requirements. Further, without specific details as to who the incoming investors will be, the dilution is significant and excessive.

    Against Axis Mutual Fund
    • Axis Mutual FundJohn Arunkumar Diaz, 73, is advisor at Aavishkaar Venture Management Services Pvt Ltd. He has attended all ten board meetings held in FY24. He was on the board of the Suryodyay SFB as nominee director from July 2009 to July 2016 and again from March 2017 to August 2018. He was appointed as independent director on the board of the bank from December 2019. We consider him non-independent given his long association (of over 10 years) with the bank and do not support the reappointment as Independent Director. If the bank believes that it will benefit from him serving on the board, it must reappoint him as Non-Executive Non-Independent Director.

  • To approve the proposed modifications in the Suryoday ESOP Scheme 2019
    Against Axis Mutual Fund
    • Axis Mutual FundThe bank has an existing ESOP Scheme – Suryoday ESOP Scheme 2019, under which upto 4.0 mn stock options can be issued. The proposed amendments to ESOP 2019 allow adding 4.0 mn stock options. After adding 4.0 mn options in ESOP 2019, total pool size of options in ESOP 2019 will be 8.0 mn options and the overall dilution of the scheme will be 3.8% on the expanded capital base. In addition to above the bank also modifying the Clause Nos. 1.2, 2.1(l), 2.1(bb), 3.1, 7.1, 8.2, 8.3, 8.5, 8.7, 12.3 and 12.4 of the Scheme which will not be prejudicial to the interests of the shareholders except Clause No. 2.1(l) regarding exercise price of the options grant. Earlier the exercise price is at fair market value as determined by an independent valuer and after proposed amendment the exercise price will be as determined by Nomination and Remuneration Committee (NRC). It is unclear if the vesting of options is purely time based or performance based - performance metrics have not been disclosed. The exercise price per option will be as determined by NRC. If the stock options are granted at a significant discount, there is no alignment between the interests of investors and those of employees. We are unable to support the resolution
