Against Angel One Mutual Fund, Canara Robeco Mutual Fund, Edelweiss Mutual Fund, Groww Mutual Fund, Invesco Mutual Fund, Jio BlackRock Mutual Fund, Navi Mutual Fund, PGIM India Mutual Fund, Sundaram Mutual Fund, Unifi Mutual Fund
- Angel One Mutual FundNomination & Remuneration Committee has absolute discretion to determine Exercise Period and Vesting Period.
- Canara Robeco Mutual FundThe company is seeking shareholder approval for the Performance Share Plan 2025 (PSP 2025), under which up to 1.5 mn equity shares will be allotted to Vivek Vikram Singh, MD and Group CEO, at face value of Rs. 10.0 each, over five years. The PSP 2025 is linked to consolidated EBITDA growth. While we support performance-linked equity compensation in principle, the proposed PSP 2025 raises several governance concerns. The entire scheme has been created for a single individual – we do not support schemes that have a sharp distribution skew. Further, we understand that the current scheme has been created in addition to the stock options granted under the ESOP 2023 scheme, which are out-of-money at current share prices. We believe ESOPs are ‘pay at risk’ instruments requiring employees – more so the Managing Director – to bear both the upside and the downside of share price movements. We also raise concern regarding the material changes in remuneration structure approved by the Nomination and Remuneration Committee using the normal legal / operating flexibility built into the shareholder resolution to reappoint Vivek Vikram Singh in 2022: the board added a new commission component of 1% of profits, that will be lowered, if at all, only to keep the remuneration at 5% of profits. Such material changes without shareholder approval, temper investor confidence, and limit Sona BLW’s board’s ability to seek flexibility from investors in shareholder resolutions going forward. Vivek Vikram Singh’s compensation from Sona BLW, after the grants under PSP 2025 and the revision in remuneration structure, is expected to increase by over 60% from FY25 levels: the revised remuneration is high for the size and performance of the company. We note that there is an ongoing dispute about the ownership of the promoter shareholding and that there is greater need for management stability at this stage. Even so, given the governance concerns raised above, we do not support the resolution.
- Edelweiss Mutual Fund, Groww Mutual Fund, Navi Mutual FundNon-compliant with SEBI (SBEB & SE) Regulations, 2021: NRC has absolute discretion to determine Exercise Period and Vesting Period.

- Jio BlackRock Mutual Fund, Sundaram Mutual Fund, Unifi Mutual FundThe company is seeking shareholder approval for the Performance Share Plan 2025 (PSP 2025), under which up to 1.5 mn equity shares will be allotted to Vivek Vikram Singh, MD and Group CEO, at face value of Rs. 10.0 each, over five years. The entire scheme has been created for a single individual – we do not support schemes that have a sharp distribution skew. We believe ESOPs are ‘pay at risk’ instruments requiring employees – more so the Managing Director – to bear both the upside and the downside of share price movements. Vivek Vikram Singh’s compensation from Sona BLW, after the grants under PSP 2025 and the revision in remuneration structure, is expected to increase by over 60% from FY25 levels: our benchmarking suggests that the revised remuneration is high for the size and performance of the company. Although the shareholder notice cites benchmarking across 11 companies, it does not disclose their names, preventing assessment of comparability. We note that there is an ongoing dispute about the ownership of the promoter shareholding and that there is greater need for management stability at this stage. Even so, given the governance concerns raised above, we do not support the resolution.

- APPOINTMENT AND PAYMENT OF REMUNERATION TO MR. VIKRAM VERMA VADAPALLI (DIN: 03631259), AS WHOLE TIME DIRECTOR OF THE COMPANY.
Against Invesco Mutual Fund
- Invesco Mutual FundVikram Verma Vadapalli, 64, is currently the CEO of Driveline business of the company. He has been associated with the Sona group for the last 35 years and with the company since 2007. He has completed his B. Tech in Mechanical Engineering from NIT, Surathkal. He is liable to retire by rotation. We estimate Vikram Verma Vadapalli’s fixed remuneration at Rs. 22.3 million. He was granted 702,000 stock options in FY24 under the ESOP Scheme 2023. The company has stated that there is no proposal currently to grant him additional options under ESOP Scheme 2023. However, there is no clarity on whether he could be granted stock options in the future, either from ESOP Scheme 2023 or from any other scheme in the future. Further the variable pay that can be paid to him is at the discretion of the NRC. In the absence of this, we are unable to estimate Vikram Verma Vadapalli’s proposed remuneration. The company should cap the variable pay in absolute amounts and disclose the quantum of stock options that he is eligible to receive over the remainder of his tenure thereby capping the overall remuneration in absolute terms. The company must also define the exact performance metrics that determine variable pay. While we support his appointment as Whole-time director and CEO – Drive business, due to the lack of adequate disclosures on the remuneration structure, we do not support the resolution.

Fixed remuneration, especially when not nominal, must not be paid to any Independent Director, as such remuneration practices remove the link between directors’ performance and that of the Company. Such remuneration practice may give rise to conflict-of-interest situation, and therefore to maintain the independence and objectivity of the IDs, the Company should disclose the objective criteria used to decide their remuneration. And that the remuneration paid to IDs must be based on board related assignment and their individual performance.
