An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    Against Bandhan Mutual Fund
    • Bandhan Mutual Fund"Vamsi Krishna Potluri, 36, is part of the promoter family (son of Ramesh Babu Potluri, Chairperson and MD) and serves as Executive Director of SMS Pharmaceuticals Limited (SMS Pharma). He attended all four board meetings held in FY25. We raise concern over his membership of the Audit Committee; we believe it must only comprise Independent Directors to avoid potential conflict of interest. His FY25 pay aggregated Rs. 51.8 mn. Both Vamsi Krishna Potluri and Ramesh Babu Potluri drew similar levels of pay and thus the pay to promoter Executive Directors aggregated Rs. 103.7 mn in FY25, which is high at 11.2% of the consolidated FY25 PBT and is not commensurate with the company’s size. The company proposes to reappoint him at a fixed pay of Rs. 18.0 mn per annum, excluding allowances, perquisites, other benefits, and remuneration linked to net profits (commission). The company has not provided any guidance on the commission, nor has it capped it in absolute terms. The company should have disclosed performance metrics that determine his variable pay. He received ~4.8% of standalone PBT as commission in FY25. Assuming a similar range of commission (based on TTM results), we estimate his FY26 pay at Rs. 66.4 mn, which is high for the company’s size. He also serves as the Managing Director of VKT Pharma Private Limited, an associate company with common promoters, in which SMS Pharma has 34.8% equity. Given his two executive positions, the company must clarify if the NRC has satisfied itself that he can devote sufficient time to his responsibilities at SMS Pharma. Further, we also raise concern that he is eligible for reimbursement of medical expenses. We believe such expenses are personal in nature and should be borne by directors themselves. The company may instead consider acquiring health insurance, since contributions are capped, or otherwise capping such reimbursements in absolute terms. We do not support the resolution."

How money raised was used

Reported for the quarter to Mar 2026. The company's results filing for the quarter to Jun 2026 says no statement of how money raised was used applies to it. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
