Company has changed its financial year from October-September to April-March and current financial period consist of 18 months beginning from October 1, 2010 to March 31, 2012. Further, the Hon'ble High Court of Judicature at Allahabad has passed an order for sanctioning the Scheme of Arrangement for transfer of Simbhaoli Distillery Division (SDD) Alcohol Undertaking of the Company to Simbhaoli Spirits Limited (Transferee Company) under section 391-394 of the Companies Act, 1956. As per the Scheme, the appointed date of transfer of the assets is October 1, 2010 and therefore, in order to take effect of the Scheme, the Hon'ble High Court has directed the Company to convene the annual general meeting of the shareholders within the period of next 40 days from the date of passing of the order. Further, the books of accounts have been prepared as per the Scheme after taking into account the Scheme for transferring the SDD alcohol undertaking, which has become effective on September 20, 2012 i.e. the date of filing of the aforesaid order with the Registrar of Companies, Uttar Pradesh.
