An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Bank of India Mutual FundRamakrishna Sataluri, 61, is the former Chief - Products & Marketing of Tata Power Solar Systems Limited. He has over thirty-seven years of experience in operations, retail and enterprise functions and has worked with the Tata Group for more than two decades. He has served on the board as a Non-Executive Non-Independent Director since 7 October 2024. He attended all four board meetings since his appointment to the board (100%). He received a remuneration of Rs. 0.4 mn in FY25, which was 14% of the aggregate commission paid to all Non-Executive Directors. The company seeks shareholder approval to pay him remuneration for FY26, which may be in excess of 50% of the aggregate remuneration paid to all non-executive directors. We raise concern at the lack clarity on the proposed remuneration. The company must provide the quantum of remuneration payable to Ramakrishna Sataluri along with a possible cap on the absolute quantum. Currently, Non-Executive Directors are eligible to receive 1% of standalone profits which translates to ~Rs. 52.9 mn and the proposed remuneration (more than 50% of the aggregated NED remuneration) would translate to a floor of Rs. 26.5 mn. We believe this is comparable to executive remuneration and expect the company to provide a granular rationale for such proposed payment. We do not support this resolution.

    • Bank of India Mutual FundThe company is seeking shareholder approval to fix borrowing limits at Rs. 30.0 bn. On 31 March 2025, the aggregate borrowings of the company stood at Rs. 1.3 bn and the debt-EBIDTA was 0.2x with the debt-equity ratio at 0.1x (on standalone basis). The company’s credit rating is IND AA-/Stable/IND A1+, which denotes a high degree of safety regarding timely servicing of debt. The company has stated that there is a ~Rs. 12.0 bn capex program in the pipeline of which 33% will be funded through equity and the balance via debt and internal accruals. While the proposed borrowing limit is high, the management has clarified, through their concall transcript, that this is merely an enabling approval and reliance on debt to fund this capex will be low. Notwithstanding, the limit sought is significantly high when compared to the current debt profile of the company. We believe the company must provide clarity regarding the target capital structure to enable shareholders to make an informed decision. In the absence of clarity, we do not support the resolution.

    • Bank of India Mutual FundDinesh Patidar, 63, is promoter and Executive Chairperson. He has over three decades of experience in manufacturing and selling stainless steel pumps and business development. He has served on the board since 30 January 2006. He attended all nine board meetings in FY25 (100%). He received a remuneration of Rs. 90.0 mn in FY25. As per the revised terms, we estimate the annual remuneration to be Rs. 180.0 mn. The entire remuneration is fixed in nature. We recognize that the scale of business of the company has significantly improved. In FY25, Shakti Pumps’ topline grew by 84% while PAT grew by 1.9x on a YoY basis. Notwithstanding, we believe that the proposed quantum of Rs. 180.0 mn, which is significantly higher than his past remuneration, is entirely fixed in nature. At such remuneration levels, we expect the company to have a variable component included in the terms which will link overall compensation to the company’s fundamental performance. We do not support the remuneration structure and as a result do not support this resolution.
