Against Bandhan Mutual Fund, Motilal Oswal Mutual Fund
- Bandhan Mutual Fund, Motilal Oswal Mutual FundCompliant with law. Governance concern: The Company has proposed to grant ESOPs to Non-Executive Director, without any justification. Further, inadequate rationale has been provided for grant of variable pay i.e. ESOPs to a single NED. Governance and Transparency concern: Since NRC has been granted absolute discretion to determine the exercise price under the ESOP Scheme, the potential benefit arising out of stock options proposed to be granted appears to be excessive without any rationale and justification.

Against Motilal Oswal Mutual Fund
- Motilal Oswal Mutual FundCompliant with law. Governance concern: Basis for Arm’s Length pricing not adequately disclosed. The disclosure regarding the basis of arriving at the pricing of the transactions is a material disclosure for shareholders to ascertain the fairness of the transaction. Hence, the same should form part of the disclosures made in the explanatory statement. Further, the resolution is interlinkage with increase in borrowing limits under resolution #1.
1 for1 against - TO CONSIDER AND APPROVE SG FINSERVE EMPLOYEE STOCK OPTION SCHEME 2026
Against Bandhan Mutual Fund, Motilal Oswal Mutual Fund
- Bandhan Mutual Fund, Motilal Oswal Mutual FundNon-Compliant under SEBI SBEB Regulations: Absolute Discretion to NRC to determine Exercise Price; The Company has not disclosed the Exercise Price/ Pricing Formula. The intent behind SEBI mandating disclosure of exercise price in the Notice, is that the shareholders could estimate the economic benefit proposed to be transferred to its employees during the course of time. Nondisclosure or authorizing Board / NRC to decide such price defeats the purpose of SEBI requiring Companies to disclose such information. Governance Concern: Potential maximum benefit that may be granted to a single employee appears to be excessive.

Against Bandhan Mutual Fund
- Bandhan Mutual FundESOP Plan 2025 will lead to a dilution of ~2.9% on the expanded capital base. While the exercise price will be linked to the market price, the Nomination and Remuneration Committee can grant options at any suitable discount to market price. We do not favour schemes where units are granted at a significant discount (>20%) to the market price since stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options (units granted at face value), there is no alignment between the interests of investors and those of employees. We make an exception in cases where the vesting of such units is mandatorily linked to detailed performance parameters, which must be disclosed in the shareholder notice and must align with shareholder interests. The company must also disclose specific pre-defined performance targets for such parameters. In the current case, the scheme permits grant of stock options based on time or performance criteria, and the extent of discount is also not clear. Thus, we do not support the resolution.
