An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Axis Mutual Fund, Groww Mutual Fund, SBI Mutual Fund, Sundaram Mutual Fund
    • Axis Mutual FundSanjay Purohit is the Group CEO and owned 1.02% of Sapphire Foods' equity on 30 June 2024. His remuneration for FY24 was Rs. 158.3 mn, including fair value of stock options apportioned. His proposed remuneration terms do not include a break-up of fixed and variable pay. The company has not disclosed the performance metrics that determine his variable pay. We estimate Sanjay Purohit's FY25 remuneration at Rs. 133.4 mn, including apportioned fair value of stock options previously granted to him. His remuneration is high for the size of business and not in line with peers. Given the absolute level of remuneration, we do not support the resolution.
    • Groww Mutual FundCompliant with law. Governance Concern: An informed decision making on the remuneration proposal would require an upper cap on the potential benefits that can be passed to him during the proposed period especially when the performance of the Company is impacted
    • SBI Mutual FundSanjay Purohit is the Group CEO and owned 1.02% of Sapphire Foods’ equity on 30 June 2024. His remuneration for FY24 was Rs. 158.3 mn, including fair value of stock options apportioned. We estimate Sanjay Purohit’s FY25 remuneration at Rs. 133.4 mn. His remuneration is high for the size of business, not comparable to industry peers and variable pay is less than 50% of total pay, which is low. Hence, we do not support the resolution.
    • Sundaram Mutual FundSanjay Purohit is the Group CEO and owned 1.02% of Sapphire Foods’ equity on 30 June 2024. His remuneration for FY24 was Rs. 158.3 mn, including fair value of stock options apportioned. We estimate Sanjay Purohit’s FY25 remuneration at Rs. 133.4 mn, including apportioned fair value of stock options previously granted to him. 65% of the stock options granted to him have performance-based vesting conditions linked to EBITDA and shareholders’ value creation. However, this accounts for 43% of his total estimated pay of Rs. 133.4 mn for FY25. His remuneration is high for the size of business, not comparable to industry peers and variable pay is less than 50% of total pay, which is low. Hence, we do not support the resolution.

    • Mahindra Manulife Mutual FundWhile the company had received shareholder approval for ratification of pre-IPO Scheme III, in line with extant regulations, it seeks approval via a separate resolution to extend the scheme to subsidiary company employeesUnder the ESOP 2017 scheme, options exercisable up to 4.3 mn equity shares will be issued to the employees of the company, its subsidiaries, its associates and its group companies. Under the Scheme III, vesting will be time-based or performance-based – there is however, no disclosure on the number of options with performance-based vesting or the actual performance criteria for vesting. Further, in case of Scheme III, the exercise price has not been defined and has been left to the discretion of the NRC but not less than face value (Rs. 10). In the past, the company has granted stock options at deep discount to share price on the date of grant. We do not favour schemes where the exercise price is not defined or could be at a significant discount to market price, or where there is no clarity on the performance metrics for vesting. ESOPs are ‘pay at risk’ options that employees accept at the time of grant, which is protected if the ESOPs are issued at significant discount to the market price on the date of the grant.
