An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Angel One Mutual FundGovernance Concern: The Company was incorporated as a result of demerged of the Consumer Healthcare business of Sanofi India Limited (SIL) and the auditors have been associated with SIL since 2017; hence the proposed appointment of Statutory auditors until the 8th AGM (to be held in 2031) will lead to prolonged association of the auditors with the Company.

    • Baroda BNP Paribas Mutual FundAs the appointment is till the 8th AGM i.e. 2031 the tenure will be more than 10 years (2017 to 2031). Long association may compromise auditor independence.

    • Motilal Oswal Mutual FundProlonged association of the auditors with the Company.
    • Nippon India Mutual FundGovernance Concern: The proposed auditor appointment until 2031 would result in prolonged association, given their prior engagement with Sanofi India Limited since 2017, raising independence concerns.
    • SBI Mutual Fund, Sundaram Mutual FundAt the 2024 AGM, Kalyaniwalla & Mistry LLP were appointed as the statutory auditors of the company for five years. However, via their letter dated 30 April 2026, Kalyaniwalla & Mistry LLP resigned citing low audit fees. The board proposes to appoint Price Waterhouse & Co. in place of Kalyaniwalla & Mistry LLP, for a period of five years from the conclusion of 2026 AGM. We note that Price Waterhouse & Co. have served as the statutory auditor of Sanofi India Limited since the 2017 AGM. If the proposed appointment is approved, their aggregate association with the group will exceed ten years. Given the extended association of the auditor with group companies, we believe the appointment is not in keeping with the spirit of Section 139 of the Companies Act, 2013, which expects auditors to be rotated every 10 years. We do not support the resolution.

    • Bajaj Finserv Mutual FundCompliant with law. Governance Concern: Basis for Arm’s Length pricing is not disclosed. "Subsequent to the demerger of Sanofi India Limited and its Consumer Healthcare business, the Company primarily transacts with SIL for purchase of goods and availing toll manufacturing and other support services, among others. Since SIL is already in possession of the required licenses, the Company’s association with SIL helps it to continue its operations efficiently and achieve its business objectives. SIL being a related party, approval is being sought for the above mentioned transactions for the aggregate outstanding value of all such material related party transactions/contracts/ arrangements not exceeding Rs. 1,050 Million (Rupees One Thousand Fifty Millions only) during the year ending on 31st December, 2024, by way of this resolution. However in case of RPTs prior approval has to be sought. Keeping in mind the company got listed in September 2024 and company has proposed approval within three months of its listing on stock exchange we are not raising any concerns. Further it is to be noted that the Company has merely stated in the explanatory statement that the RPTs are at arm’s length basis, however, it has not provided any disclosure regarding the basis of arriving at the same. We understand that Audit Committee must be having a rationale for considering the RPT to be at Arm’s Length basis, similarly, such rationale should also be disclosed for shareholders’ information and decision making. Since the company has not disclosed the Basis for Arm’s length pricing. and without a basis for arm's length pricing, it is not feasible to determine the fairness of the transaction. "
