Vide its letter dated October 30, 2009 that "The Board of Directors of the Company at its meeting held today, interalia, has considered and approved the Scheme of Amalgamation of RPG Cables Limited ('RPGCL' and "the Company") with KEC International Limited ('KEC').The Scheme includes the following: 1) Amalgamation of the Company with KEC. 2)The Appointed Date of the Scheme will be March 1, 2010. 3) KEC to issue its equity shares to the shareholders of the Company as on the record date, based on the share exchange ratio as under: "1 (One) fully paid up Equity Share of Rs.10 each/- of KEC International Limited for every 20 (Twenty) fully paid up Equity Shares of Rs. 10/- each held by the shareholders of RPG Cables Limited". The Scheme is subject to requisite consent, approval of the requisite majority of the shareholders and creditors of KEC and the Company, the Bombay and Karnataka High Court and the permission or approval of any other statutory or regulatory authorities which may be necessary for the implementation of the Scheme".
