An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • HDFC Mutual FundProposed commission to independent directors are high based on size and complexity of business
    • ICICI Prudential Mutual FundThe Independent Directors were only paid sitting fees and reimbursement of expenses for attending board and committee meetings. Although the company has capped the commission payable in absolute terms, we raise concern that the cap of 5% of profits is higher than the cap on commission as per prevailing market practices. The company has also not defined a tenure for payment of commission, the resolution is effectively valid in perpetuity. Hence, the AMC has voted against the resolution.

Against Edelweiss Mutual Fund, HDFC Mutual Fund, SBI Mutual Fund
    • Edelweiss Mutual FundRenumeration payable should be limited to regulatory limit
    • HDFC Mutual FundThe proposed remuneration is high considering the size and complexity of the business
    • SBI Mutual FundRajdipkumar Gupta, 48, is the founder and the Managing Director of Route Mobile Limited. He has been on the board of the company since 15 May 2004. After acquisition of Route Mobile Limited by Proximus group (Belgium), all directors except Rajdipkumar Gupta have stepped off the board. Rajdipkumar Gupta will continue in his capacity as Managing Director.Rajdipkumar Gupta was paid Rs. 19.9 mn as remuneration in FY24. After revision in remuneration terms, we estimate his salary plus variable bonus at Rs. 80.9 mn, which is not commensurate with the size of the business and high as compared to peers.Rajdipkumar Gupta’s total remuneration cannot be ascertained as he is eligible to receive stock options including stock appreciation rights from Proximus Opal (the holding company) - the rationale for not granting stock options from Route Mobile Limited is unclear. Further, there is no clarity on the quantum of stock options that may be granted to him during his tenure. The resolution grants the board (and NRC) the flexibility to change the remuneration structure within regulatory thresholds – considering the FY23 PBT his remuneration from RML could go as high as Rs. 77.5 mn. Therefore, in FY25, his aggregate remuneration (including remuneration from subsidiaries) could be as high as Rs. 99.0 mn. Given the lack of clarity about his overall remuneration, we do not support the revision in remuneration.

    • Axis Mutual FundChandrakant Gupta, 70, is part of the promoter family and is an entrepreneur and investor in early-age technology and hospitality businesses. He is the father of Rajdipkumar Gupta (Managing Director) and Sandipkumar Gupta (Chairperson). He attended five out of eleven (45%) board meetings held in FY23 and seventeen out of twenty-eight (61%) board meetings held in the last three financial years. We have a threshold of 75% attendance over a three year period. Even while his appointment is in line with statutory regulations, we are unable to support the reappointment given his low attendance.
    • Kotak Mahindra Mutual FundMr. Chandrakant Gupta, 70, has 5 decades of industry expertise. He manages the general corporate and administrative matters of the company. He has been with the company for the past 16 years. Even though Mr. Chandrakant Gupta has helped the company take many strategic decisions that have led the company double its profits, he has attended only 5 out of 11 board meetings in the last financial year and 12/17 board meetings in the last 2 financial year. The company has not given any explanation regarding his absence which raises a governance concern. Hence voting against.
