An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Angel One Mutual Fund, Edelweiss Mutual Fund, Navi Mutual Fund
    • Angel One Mutual FundGovernance concern: The proposed appointments would result in a Board comprising 5 Non-Executive Directors, 2 Executive Directors and 6 Independent Directors, with Independent Directors constituting below 50% of the Board. While the Bank has obtained an RBI exemption from the requirement of having at least half of the directors as Independent Directors with regards to the board meeting quorum requirements as required under RBI guidelines, the proposed composition raises a governance concern as the number of Non-Independent Directors would exceed the number of Independent Directors, with all or majority of Non-Independent Directors being nominees of the Promoter. From a governance standpoint this may affect the governance balance of the Board. Further, the concern arises from the collective impact on the board composition due to all five proposed appointments and is not attributable to any particular nominee. Hence, all the appointments are assessed together from a governance perspective. Additionally, the Independent Director proposed for appointment under resolution #5 is an ex-employee of the Promoter.

Against Angel One Mutual Fund, Baroda BNP Paribas Mutual Fund, Groww Mutual Fund, Motilal Oswal Mutual Fund, Navi Mutual Fund, PPFAS Mutual Fund, quant Mutual Fund
    • Angel One Mutual FundGovernance concern: The rights given in cases where shareholding would be above 50%, to nominate all of the non-independent directors on the Board, including executive directors, appears to be significant. The same leaves no scope for representation of other significant and willing shareholders, thereby limiting board diversity and plurality of views among Non-Independent Directors. Since all Non-Independent Directors, including executive directors, would be investor nominees in such situations, management and board discussions could be inclined towards the investor’s strategic and operational priorities, potentially diminishing the practical effectiveness of independent oversight. Governance balance of the Board would be better served if mechanisms ensured that representation is not significantly inclined in favour of a select investor.
    • Baroda BNP Paribas Mutual FundThe proposed amendment and grant of special right to the foreign investor (Emirates NBD Bank) who has recently acquired 60% stake puts minority investors' interest at disadvantage to the majority stakeholder (i.e. foreign investor) in terms of representation on board.

ITC reversal due to GSTR 2A and 3B mismatch and ITC availed on the invoices issued by GSTR 3B defaulters Order-in-Appeal passed against Adjudication Order Ref. No. ZD330524020473T dated 04.05.2024 The Bank had received an Adjudication Order bearing Reference No. ZD330524020473T dated 04.05.2024, confirming a demand of Rs. 2,96,82,725 comprising tax of Rs. 2,69,80,478, penalty of Rs. 27,02,247, along with applicable interest. Against the said order, the Bank filed an appeal before the Commissioner (Appeals) on 26.06.2024 and deposited 10% of the disputed tax amount (Rs. 27,07,855) as the mandatory pre-deposit. The Commissioner (Appeals) subsequently passed an order reducing the demand to Rs. 1,71,082, comprising tax of Rs. 1,31,082 and penalty of Rs. 40,000, pertaining to issues relating to GSTR-2A/GSTR-3B mismatch and ITC availed from taxpayers who had not filed GSTR-3B returns. Although the Bank has the option to file a further appeal before the GST Appellate Tribunal (GSTAT), considering the relatively small amount involved vis-à-vis the litigation cost, court fees, administrative efforts, and time required for pursuing the matter, the Bank has decided to accept the appellate order and settle the demand to close the matter. Accordingly, the penalty of Rs. 40,000 has been paid, while the tax amount of Rs. 1,31,082 is being adjusted by the department against the pre-deposit of Rs. 27,07,855 made at the time of filing the appeal before the Commissioner (Appeals). Balance amount remaining after such tax adjustment shall be claimed as a refund in accordance with the provisions of the GST law.MoreLess
