Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. How mutual funds voted
Fund houses must disclose how they vote at every meeting of a company they hold.
Mutual fund votes, meeting of 12 Jun 2026, 3 fund houses
- Issue of Warrants on Preferential basis
Against Bandhan Mutual Fund, Bank of India Mutual Fund, Motilal Oswal Mutual Fund
- Bandhan Mutual FundCompliant with law. Governance and Transparency concern: Warrants have been priced at par with equity shares as it is proposed to be issued at the floor price determined under Chapter V of the SEBI (ICDR) Regulations, 2018, without any premium for the conversion period. Further, the Company has not provided sufficient justification which indicates urgent need of funds and rationale for selecting Promoters as the allottee, resulting in a lack of clarity on the overall rationale of the proposed issuance of convertible warrants.
- Bank of India Mutual FundThe company proposes to raise Rs. 0.4 bn through a warrant issue to promoters. Assuming full conversion of 0.3 mn warrants, the issuance will result in ~2.3% dilution on an expanded capital base for existing shareholders. The issue price is at a 20% discount to the current market price of Rs. 1,419.The proceeds from the warrant issue will be utilised towards strategic investments in group companies, repayment of borrowings, and general corporate purposes (up to 25% of proceeds). If exercised, the issuance of warrants will increase promoter and promoter group shareholding to 47.8%, from the current 46.6%.We do not support the issue of warrants to promoters, as it allows them to benefit from stock price movements for 18 months. Further, if the promoters decide not to subscribe to the remaining 75% of the warrant price, it could have material implications for the company’s funding plans. We encourage promoters to participate through a preferential issue of equity shares, where funds are brought in upfront, rather than through the warrant route. Hence, we do not support the resolution.
- Motilal Oswal Mutual FundInadequate rationale for proposed fund raising via issuance of convertible warrants; Warrants & Equity Shares priced at par; Basis of selecting the promoter as allottee remains unclear
0 for3 against
Mutual fund votes, meeting of 26 Mar 2026, 3 fund houses
- To approve payment of commission to Non-Executive Directors and Independent Directors
Against Bank of India Mutual Fund
- Bank of India Mutual FundThe company seeks shareholder approval for payment of commission of up to 1% of profits, not exceeding Rs. 10 mn per annum in aggregate, to non-executive directors and independent directors, in addition to sitting fees and reimbursement of expenses from FY26 onwards for a period of five years. The company is also seeking approval for payment of remuneration to a single non-executive director or independent director in excess of 50% of the total annual remuneration payable the non-executive directors in FY26.The proposed commission to non-executive directors is in line with market practice and the company has capped the remuneration payable in absolute terms. However, as the company has not provided the name of the director nor the rationale for payment of more than 50% of the aggregate remuneration to a single director, we do not support the resolution.

How money raised was used
Reported for the quarter to Jun 2026. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far. A statement's amounts are left out where the raise it states and its own uses differ by fifty times or more, a figure typed at the wrong scale.
