Members of the Exchange are hereby informed that the trading in equity shares of Rane Brake Linings Limited shall be suspended w.e.f. February 15, 2008 (i.e. closing hours of trading on February 14, 2008) on account of Scheme of Arrangement of between Rane Engine Valves Limited, Rane Brake Linings Limited and Rane Holdings Limited.9 Feb · Corporate action
At the final hearing held on December 20, 2007, the Hon'ble High Court of Madras have sanctioned the composite Scheme of Demerger, Merger and Amalgamation between Rane Engine Valves Limited (REVL), Rane Brake Linings Limited (RBL), Techcons Limited (Techcons), Rane Brake Products Limited (RBPL) and Rane Holdings Limited (RHL) ("Scheme"). In terms of the Scheme, each member of the transferor companies viz., REVL & RBL whose name is recorded in the register of members as on the record date would be allotted shares in the following manner: i) 1 equity share of Rs.10/- each fully paid up in Techcons for every 1 equity share held in REVL; ii) 1 equity share of Rs.10/- each fully paid up in RBPL for every 1 equity share held in RBL; iii) 56 shares of RHL for every 100 shares of REVL; iv) 75 shares of RHL for every 100 shares of RBL. For this purpose February 22, 2008 has been fixed as the Record Date for determining the shareholders of Rane Brake Linings Limited who are eligible to receive shares as detailed above. Rane Brake Linings Limited had submitted to the Exchange a copy of the Notice of a meeting of the equity shareholders of the company to be held on November 28, 2007 for the purpose of considering, and if thought fit, approving, with or without modification, the Scheme of Demerger, Merger and Amalgamation proposed to be made between Rane Engine Valves Limited, Techcons Limited, Rane Brake Products Limited, Rane Holdings Limited and the Applicant Company (Rane Brake Linings Limited) and their respective shareholders. The Company has now informed the Exchange that in page no.17 of the Notice containing the "Explanatory Statement", under the head the "transferee company - Rane Holdings Limited", the balance sheet of Rane Engine Valves Limited has been wrongly printed instead of the balance sheet of Rane Holdings Limited. Further, the Company has submitted to the Exchange a corrected copy of the Notice of the Meeting.
