An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

How mutual funds voted

Fund houses must disclose how they vote at every meeting of a company they hold.

Mutual fund votes, meeting of 27 Mar 2026, 1 fund house

  • To approve the Material Related Party Transaction(s) to be entered into with Radiant Protection Force Private Limited (RPF)
    Against UTI Mutual Fund
    • UTI Mutual FundThe company proposes to enter into transactions with RPFPL, a promoter-owned entity, for availing security services, leasing, and fleet management services on a contractual basis. These transactions are in the ordinary course of business. Additionally, RPFPL pays rent to RCMS for occupying a portion of the office premises. Shareholders’ approval is being sought for a period of three years starting FY27, with caps assigned on each individual transaction. The transactions will be at cost plus fixed markup, based on the report of an independent Chartered Accountancy firm: it is unclear how this qualifies as an arm’s length transaction. We believe that business adjacencies should not be housed within promoter-controlled entities. In FY23, a similar approval was sought, and given the criticality of these services, we supported the resolution for three years, with the understanding that the company would use this time to realign its corporate structure. However, despite the passage of time, the company has not unwound these legacy arrangements. While we understand that these transactions are critical to the company’s operations, we believe that the business must be owned by the listed entity. As the company continues to retain business adjacencies within promoter-owned entities, we do not support the resolution.

  • To consider and approve related party transactions with Radiant Protection Force Private Limited
    Against WhiteOak Capital Mutual Fund
    • WhiteOak Capital Mutual FundThe proposed transaction is for extension of financial support by way of advancing any loan (including any loan represented by a book debt) and/or give guarantee and/ or provide any security in connection with any loan taken by Radiant Protection Force Private Limited (RPF) - promoter owned entity, up to an aggregate limit of Rs. 100 mn. The tenure of the loan to be extended is five years and rate of interest will be at prevailing market interest rate. Guarantee Commission for guarantee extended will also be based on market rates. The transactions will ensure uninterrupted flow of services from RPF. As a Security Services Company, RPF provides Radiant Cash Management Services Limited (RCMS) with services of trained and reliable personnel such as Gun Men, Security Guards, Drivers etc., and also Specially Fabricated Cash Vans to ensure safe transport of Cash. These services are integral to the operations of RCMS. We do not support business adjacencies being held in promoter-controlled company; if the operations are critical to RCMS’s business it should house the critical services in the main company. At the 2023 PB, we supported related party transactions between RCMS and RPF on expectation that RCMS being newly listed would require time to unwind legacy arrangements with promoter entities and house the critical services in the main company.
