An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

  • Re-appointment of Mr. Peter DeYoung (DIN: 07152550) as Whole-Time Director, designated as Executive Director of the Company
Against DSP Mutual Fund, Jio BlackRock Mutual Fund
    • DSP Mutual Fund, Jio BlackRock Mutual FundAs per the FY26 annual report, Peter DeYoung received remuneration of Rs. 85.0 mn. The company has clarified that this includes a performance-linked incentive accrued in FY25 but paid in FY26. While the annual report does not provide a break-up, the annual return reports gross salary of Rs. 49.6 mn and ‘other remuneration’ of Rs. 35.4 mn. In the absence of further clarity, we have assumed that the entire ‘other remuneration’ represents the performance-linked incentive accrued for FY25. Under the remuneration terms approved at the 2023 AGM, Peter DeYoung was eligible for a performance-linked incentive of up to 50% of the last drawn total fixed pay, or such other amount as approved by the board. The company had then clarified that the remuneration approved by the board would remain within the stated ceilings for total fixed pay and performance-linked incentive. The company must clarify the break-up of the Rs. 35.4 mn paid in FY26. If it entirely represents the FY25 incentive, it would equal ~79% of his estimated FY25 fixed pay, exceeding the indicated ceiling. Under the current resolution, his FY27 total fixed pay is capped at Rs. 51.5 mn. However, annual increments may be up to 30%, which is high, or such other amount as approved by the board. The performance-linked incentive may also be up to 100% of the last drawn total fixed pay, or such other amount as approved by the board. These terms are enabling and every increase in fixed pay also raises the potential incentive payout. The resolution further permits performance-linked incentive as part of minimum remuneration during periods of inadequate or no profits, without clearly disclosed performance conditions. We also note that his spouse, Ms. Nandini Piramal, is a member of the NRC. Although she recused herself from deliberations on his re-appointment, we believe the NRC must comprise only independent directors. While we support his re-appointment, we do not support the resolution given its enabling nature.

Against Angel One Mutual Fund, DSP Mutual Fund, Edelweiss Mutual Fund, Jio BlackRock Mutual Fund, LIC Mutual Fund, Navi Mutual Fund
    • Angel One Mutual FundGovernance concern: Low attendance at Board meetings; Non-material pecuniary relationship with the Company.
    • DSP Mutual Fund, Jio BlackRock Mutual FundSridhar Gorthi, 53, is founding partner and member of the Management Committee at Trilegal. He was appointed as Independent Director on the board on 30 March 2022. He attended three out of six meetings (50%) held during FY26 and 11 out of 17 meetings (65%) held during the previous three years. We expect directors to attend all board meetings: we have a threshold of 75% attendance of the board meetings in the three-years prior to re-appointment. Further, as per Trilegal’s website, Piramal Pharma Limited is a client and as per Piramal Pharma’s annual report, Trilegal has received fees from the company from FY24 to FY26. This can create a potential conflict of interest. Given the above reasons, we do not support the resolution.

    Against Franklin Templeton Mutual Fund
    • Franklin Templeton Mutual FundA vote AGAINST this resolution is warranted in view of the following concerns: • The board independence norms are not met, and Peter DeYoung is a non-independent director nominee. • Peter DeYoung is a relative to Nandini Piramal who is a member of the nomination and remuneration committee, thus creating a material conflict of interest and making it difficult to ascertain whether the committee has been judicious while deciding the terms of his remuneration. • Peter DeYoung will be paid the proposed remuneration irrespective of the company's financial performance during her tenure. • The resolution entails giving discretion to the board to revise his remuneration by up to 30% of the salary annually. Large increase in fixed pay should be accompanied with adequate rationale justifying the increase. As a good practice, pay increases should be gradual with adequate disclosures and periodic shareholder approvals. • Additionally, the remuneration package of Peter DeYoung includes performance linked incentives. While variable pay is common in India, the standard practice is to link it to certain parameters like individual and company performance. In this case the company has not disclosed the metrics and performance parameters that will be used to determine the bonus element which might lead to discretionary payouts.

    • quant Mutual FundRes 1-5 Vote: AGAINST Explanation: All the aforementioned resolutions refer to the company’s 2022 ESOP and incentive plan. The policy has erred on multiple fronts as follows. The company has not disclosed the exercise price/ SAR price/ pricing formula clearly and the broadness of the range of exercise price can even lend a cost of INR 87cr p.a. ((CMP – INR 10) * 8.88cr shares / 6 years) to the plan, which would have to be borne by the broader base of shareholders. The company has also not disclosed the maximum number of options that can be granted to an employee, as required by SEBI. Hence, we believe that the 2022 ESOP & incentive plan of Piramal Pharma is not compliant with law. Hence, we vote against the resolution. Under res 2, the company seeks to extend the plan to group companies including associate companies and the holding company. Extending such a scheme to associate/ holding companies is not adequately justified, in our opinion. Also, the size of the plan at ca. 7.5% (ESOP + SAR) is beyond a reasonable amount of dilution that should be expected.
