An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

    • Axis Mutual Fund, Jio BlackRock Mutual Fund, SBI Mutual FundNilesh Koul, 52, is former Senior President, CEO Aluminium Downstream, Hindalco Industries Limited. He has twenty-eight years of experience across different sectors such as metals, construction materials, oil and gas and FMCG. We estimate his remuneration in FY26 (5 months) as Rs. 38.2 mn (including joining bonus), FY27 as Rs. 85.5 mn and FY28 as Rs. 115.5 mn - based on explicit amounts given in the notice. There is inadequate clarity on remuneration - with the Nomination and Remuneration Committee having discretion in deciding other allowances, performance incentive and other perquisites. As per the proposed remuneration structure, the variable pay is at ~35% of total pay: which is low. We believe variable pay should constitute more than 50% of the overall remuneration and be directly linked to company performance, with clearly defined performance metrics. While we support his appointment as Managing Director, we do not support the open-ended remuneration terms. Hence, we do not support the resolution.

We estimate his annual remuneration at Rs. 175.4 mn - entirely fixed. There is inadequate clarity on remuneration with the Nomination and Remuneration Committee having discretion in deciding other allowances, performance incentive and other perquisites. His remuneration structure does not include a variable component and comprises largely of fixed pay with limited alignment to performance. We believe variable pay should constitute more than 50% of the overall remuneration and be directly linked to company performance, with clearly defined performance metrics. Further, his remuneration at Rs. 175.4 mn is higher than peers and not commensurate with the size and scale of business. While we support his reappointment as Managing Director, we do not support the remuneration terms.

How money raised was used

Reported for the quarter to Mar 2026. The company's results filing for the quarter to Jun 2026 says no statement of how money raised was used applies to it. A preferential issue sells new shares to chosen investors rather than to the public. A warrant or partly paid issue plans the whole issue while the money comes in over time, so the amount set aside can be more than raised so far.
