In connection with the delisting offer to the equity share holders of the Company (Panasonic AVC Networks India Co. Ltd.), that a Price of Rs.30.00 per share (the "Discovered Price") was determined through the reverse book building process conducted on the Bombay Stock Exchange Limited (BSE) in accordance with the Securities and Exchange Board of India (SEBI) (Delisting of Securities) Guidelines - 2003. ICICI Securities Limited has further informed the Exchange that the Acquirer, Matsushita Electric Industrial Co. Public announcement being issued by Matsushita Electric Industrial Co. Ltd. (the Acquirer), in respect of the proposed acquisition of the fully paid-up equity shares and delisting of Panasonic AVC Networks India Co., Ltd. (the Company), pursuant to the Securities and Exchange Board of India (Delisting of Securities) Guidelines 2003 (the Guidelines) (the Delisting Proposal). The Acquirer is proposing to acquire equity shares of the Company pursuant to the Guidelines, consequent to which acquisition the public shareholding in the Company will fall below the minimum limit prescribed by the Company's listing agreement. Accordingly, the Acquirer seeks to delist the equity shares of the Company pursuant to the voluntary delisting procedures set out in the Guidelines for the reasons set out in paragraph 10 of the public announcement. The Acquirer hereby invites the public holders of the fully paid-up equity shares of the Company (the Shareholders), to tender to the Acquirer, on the terms and subject to the conditions set out in the public announcement, all of their equity shares in the Company, being as on August 29, 2007, 8,630,688 fully paid-up equity shares of the Company with a face value of Rs.10/- each, representing approximately 17.26% of the fully paid-up share capital of the Company (the Shares). The Bid Opening Date is September 24, 2007 & the BID Closing Date is September 28, 2007.
