Nrc Ltd. has informed the Exchange that the auditor's have conducted the limited review of the unaudited financial results for the quarter ended June 30, 2007 and found the same to be in order subject to certain observations. The auditor's observations are: 1) The accounts of certain debtors, creditors, unsecured loans, banks and loans & advances given are subject to confirmations, reconciliation and consequent adjustments, if any, which are presently not ascertainable; 2) During the quarter, the Company has sold 16,51,162 equity shares being investment in Andhra Cement Ltd, pledged with a Bank as a collateral security on behalf of body corporates for the loans taken by them without vacating the charges and transfer of titles in favour of the buyer, profit on sale of such shares considered in the quarter is Rs. 119 Lacs impacting the financial results of the quarter to that extent.

Ltd. has informed the Exchange that they have given a financial assistance of Rs.10,00,00,000/- (Rupees ten crores only) by way of Inter Corporate Deposit (ICD) Facility to M/s. ISG Traders Limited. To secure the due payment of the said ICD Facility given by them to ISG Traders Limited, 33,15,000 equity shares of NRC Limited were pledged with them as security. Further, Since M/s. ISG Traders Limited has defaulted in making the payment in terms of the ICD Facility provided vide Agreement dated March 30, 2005, the pledge become enforceable including the right of sale of pledged shares.
