An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

The scheme will be implemented via fresh issuance of shares. It is proposed to grant options aggregating to 8.5 mn in the form of Employees Stock Options (ESOPs) and Performance Restricted Stock Units (PRSUs). The proportion of ESOPs and PSRUs to be granted will be decided by the NRC. The exercise price for ESOP will be market price of the equity shares prior to the date of the grant, although the company stated that these will not be issued below face value. PRSUs will carry an exercise price equal to the face value of the equity shares. While the vesting of PRSUs is performance-based, the company has not disclosed details regarding performance metrics or targets around the metrics. We believe companies should disclose specific parameters with a pre-defined range of achievements where stock options/PRSUs are granted at deep discount to market price. Further, the company must remove the flexibility it has built into the resolution to grant ESOPs at a discount to market price. We do not support the resolution.
