An independent director has no business or family tie to the company, its promoters or its managers beyond the seat. Listed boards counts the boards of listed companies the director sits on, this one included, and "as independent" how many of those seats are independent ones. Committee seats are audit and stakeholder committee seats across those companies. Months as independent is filed for independent directors only, whose terms the rules cap. Disqualified is the company's own mark that a director may not serve under company law.

Against Aditya Birla Sun Life Mutual Fund, Bandhan Mutual Fund, Bank of India Mutual Fund, HDFC Mutual Fund, Kotak Mahindra Mutual Fund, LIC Mutual Fund, Mirae Asset Mutual Fund, Motilal Oswal Mutual Fund, UTI Mutual Fund
    • Aditya Birla Sun Life Mutual Fund, Bank of India Mutual Fund, UTI Mutual FundThe company proposes to amend the ESOP scheme to remove the limit of 50,000 options to an employee in aggregate. Annual cap of 50,000 options per employee per annum will continue. This will allow for a greater skew in the distribution of grants. Therefore, we do not support the amendment. Further, we do not support the ESOP 2024 scheme, as options can be granted to employees at a price as decided by the board and can be as low as the face of the shares – stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We do not support the resolution.
    • Bandhan Mutual Fund, Motilal Oswal Mutual FundAlthough no concern has been identified in the proposed variation in the scheme. However, Compliance Concern identified under the original ESOP Scheme to which variation is proposed.
    • HDFC Mutual FundThe company proposes to amend the ESOP scheme to remove the limit of 50,000 options to an employee in aggregate. Annual cap of 50,000 options per employee per annum will continue. This will allow for a greater skew in the distribution of grants. Further, the options are granted at a deep discount to market price. We do not support the resolution.
    • Kotak Mahindra Mutual FundThis amendment in existing ESOP scheme would allow an employee to receive more than 50,000 options in aggregate, with restriction of maximum of 50,000 during a year. As company has not put upper limit for the options for an individual employee, This will allow for a greater skew in the distribution of grants. Considering this governance concern, we do not favour the resolution.
    • LIC Mutual FundCompliance Concern identified under the original ESOP Scheme to which variation is proposed.
    • Mirae Asset Mutual FundESOP at steep discount to market price do not align with shareholder interest

Mutual fund votes, meeting of 17 May 2025, 15 fund houses

  • Ratification of Employee Stock Option Scheme 2024 of Laxmi Dental Limited
Against Aditya Birla Sun Life Mutual Fund, Bandhan Mutual Fund, Bank of India Mutual Fund, Edelweiss Mutual Fund, HDFC Mutual Fund, HSBC Mutual Fund, Invesco Mutual Fund, Kotak Mahindra Mutual Fund, Mirae Asset Mutual Fund, quant Mutual Fund, Tata Mutual Fund, UTI Mutual Fund
    • Aditya Birla Sun Life Mutual Fund, Bank of India Mutual Fund, Invesco Mutual FundUnder ESOP 2024, the company can grant upto 500,000 options through fresh issue of shares. Of these, 351,672 options were granted at face value till the date of the prospectus. The exercise price under the scheme is unclear as it will be determined by the board. If granted at face value, it represents a discount of ~99.5% to the prevailing market price. We do not favour ESOP schemes where options are granted at a significant discount (>20%) to market price as stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. We make an exception where the vesting of such options is mandatorily linked to performance parameters and the company has disclosed the pre-defined performance targets for such parameters. In the current case, the vesting of options is primarily time-based. In addition, the Nomination and Remuneration Committee (NRC) may determine certain performance criteria for vesting. However, such performance parameters along with the targets have not been articulated. In the absence of clarity and the flexibility extended to the NRC, we do not support the resolution.
    • Bandhan Mutual FundNon-Compliant under SEBI SBEB Regulations: Inadequate disclosure w.r.t Exercise Price; Absolute Discretion to NRC to determine Exercise Price.
    • Edelweiss Mutual FundNon-Compliant under SEBI SBEB Regulations: Inadequate disclosure w.r.t Exercise Price; Absolute Discretion to NRC to determine Exercise Price. Transparency Concern: Separate approval is required to grant options to subsidiaries’ employees and it is unclear whether the Company intends to grant options to subsidiaries’ employees.
    • HDFC Mutual FundLack of clarity on the pricing of ESOPS. We do not support the resolution.
    • HSBC Mutual FundA vote AGAINST this resolution is warranted because: • The stock options may be issued with an exercise price at a discount to the prevailing market price, on the date of grant. • The vesting can also be based on achievement of performance conditions, set by the NRC. However, the company has not specified the performance parameters, targets and thresholds for vesting.
    • Kotak Mahindra Mutual FundUnder ESOP 2024, the company can grant up to 500,000 options through fresh issue of shares. Of these, 351,672 options were granted at face value till the date of the prospectus. The company has not provided the exercise price under the scheme and has provided NRC the Discretion to determine the Exercise Price. Performance parameters along with the targets also have not been articulated. In the absence of clarity and the flexibility extended to the NRC, we do not support the resolution.
    • Mirae Asset Mutual FundESOP pricing at significant discount to market price (high discount implies non-alignment of potential future growth for shareholder and ESOP holders)
    • quant Mutual FundRelated to the ratification of the company’s 2024 ESOP scheme. Despite our proxy advisor having raised concern with the company, the NRC has retained absolute & full discretion to determine Exercise Price. Such non-disclosure or authorizing Board/ NRC to solely decide such price defeats the purpose of SEBI mandated disclosures. We believe that a pricing formula (As envisaged under the Part C Schedule I of the Regulations) should be disclosed by the NRC to uphold the intended objective of the Regulator to allow shareholders to estimate the economic benefit proposed to be transferred to its employees during the course of time. Hence, we are voting against the resolution.
    • Tata Mutual FundWe do not favor ESOP schemes where options are granted at a significant discount to market price as stock options are ‘pay at risk’ options that employees accept at the time of grant. In the case of deeply discounted options, there is no alignment between the interests of investors and those of employees. As per our discussion with the company ESOPs shall be granted at Face Value and not linked to performance. Hence we do not support such resolution.
    • UTI Mutual FundUnder ESOP 2024, the company can grant upto 500,000 options through fresh issue of shares. Of these, 351,672 options were granted at face value till the date of the prospectus. The exercise price under the scheme is unclear as it will be determined by the board. If granted at face value, it represents a discount of ~99.5% to the prevailing market price. We do not favour ESOP scheme as there is lack of clarity in terms of performance-criteria for the grant of ESOPS and the vesting of options is primarily time-based. In addition, the Nomination and Remuneration Committee (NRC) may determine certain performance criteria for vesting. However, such performance parameters along with the targets have not been articulated. In the absence of clarity, We do not support the resolution.
