To approve Material Related Party Transactions under Section 188 of the Companies Act, 2013 and Clause 23 of the SEBI (LODR) Regulations, 2015 with Sri Kauvery Medical Care (India) Limited, Holding Company for availing and rendering of hospital services, purchase of goods, sale of goods, rental expenses, rental income, guarantee expenses, guarantee income, sale of asset, purchase of asset etc. or any transaction involving transfer of resources, services or obligations of whatever nature on such terms as may be mutually agreed upon for an aggregate value not exceeding Rs. 40,00,00,000/-.MoreLess
Against Bandhan Mutual Fund
- Bandhan Mutual Fund"The transactions include availing and rendering of hospital services, purchase and sale of goods, rental income and expenses, guarantee income and expenses, purchase and sale of assets, and any other transfer of resources, services, or obligations. The scope of the resolution is very enabling in nature. Kauvery Hospitals group operates 12 hospitals, of which two units in Trichy are housed under KMC Speciality Hospitals (India) Limited and the remaining 10 are held under the parent company, Sri Kauvery Medical Care (India) Limited. While the holding company, being of significant size, extends operational and financial support to the subsidiary, the rationale for the reverse arrangement where the listed subsidiary provides guarantees on behalf of the holding company is unclear. Further, there is no clarity on the terms of such support. As per the annual report, the outstanding guarantees extended for the holding company aggregated Rs. 800.0 mn as of 31 March 2025, of which Rs. 536.0 mn was extended during the year. These guarantees were provided to bankers on behalf of the holding company. Given the enabling nature of the resolution and the lack of clarity on the rationale for providing financial support, we do not support the resolution."
